SERVICE AGREEMENT

This Co-Host Intake & Service Agreement (“Agreement”) is made between the Co-Host (“Client”) and Nina Dorrough, operating as a Co-Host Connector under the brand Mr. Leonardt (“Service Provider”).

1. Description of Services

Service Provider provides a co-host matching service connecting Co-Hosts with property owners seeking short-term rental support. Service includes sourcing, vetting, and introducing owners who meet the Client’s stated criteria.

2. All Matches Require Upfront Payment

All property matches require full upfront payment before any owner details are released.
No match will be delivered until payment is received.
Any exceptions must be agreed to in writing prior to service.

3. Payment Terms

The match fee for each property is $999 and is payable by the Client (Co-Host).

This fee is strictly for the referral service performed by the Service Provider and has no connection to the property owner. The property owner is not involved in any part of the payment process and is not responsible for paying the fee.

The match fee is due upfront, and no property owner details will be released until payment is received in full.

There are no refunds.

3.1 Agreement Applies Per Property

This Agreement applies to one (1) property match at a time. Each property matched through the Service Provider requires its own separate agreement and its own service fee. If the Client requests additional property matches, a new agreement will be issued for each property.

3.2 One-Match-at-a-Time Policy

The Client will receive one (1) property match at a time. If the Client declines the match, the Service Provider will provide the next available match. Multiple matches will not be delivered simultaneously. Client may not request, receive, or review more than one property match at once. Each match is delivered sequentially to protect the integrity of the matching process.

3.3 Owner Contact Protocol & Source Protection

For each match, the Client will receive the assigned property’s address, owner name, and owner contact information. The Client understands that the Service Provider uses proprietary methods and internal sourcing systems to identify property owners and opportunities.

While the Client is encouraged to communicate directly with the assigned owner after a match is made, the Client agrees not to request access to, attempt to recreate, or independently explore the Service Provider’s sourcing methods or internal systems.

4. No Guarantee of Partnership

Service Provider does not guarantee compatibility. If Client and property owner choose not to move forward, a replacement match may be provided in accordance with Service Provider’s replacement policy and at Service Provider’s discretion. Replacement eligibility may be limited in cases of repeated declines, delayed outreach, or misuse.

5. Client Responsibilities

The Client is solely responsible for conducting all due diligence related to each property match.

This includes, but is not limited to:

• confirming local STR licensing requirements
• verifying zoning or municipal STR regulations
• verifying HOA or community restrictions
• confirming owner permissions and expectations
• assessing property suitability for STR operations
• evaluating safety, compliance, and operational feasibility

The Service Provider does not confirm or guarantee zoning compliance, HOA approval, licensing status, or the legal eligibility of any property for short-term rental use.

The Client agrees to independently verify all compliance requirements before entering into any co-hosting relationship.

 6. Service Limitations

Service Provider does not manage properties, negotiate co-hosting terms, or ensure property owner compliance.

7. Termination

Either party may terminate this Agreement in writing. Fees owed for completed matches remain payable.

8. Confidentiality

Client agrees not to disclose internal sourcing methods, platforms, or proprietary processes.

9. Governing Law

This Agreement is governed by the laws of the state in which Service Provider operates.

10. Term of Agreement

Upon payment of the Match Fee, the Client has up to twenty-four (24) months to utilize their match. The Match Fee is non-refundable and may be applied toward one (1) property match at any time during the 24-month term. If the Client does not utilize the match within the 24-month period, the Agreement expires and the Client forfeits the Match Fee.

By completing payment and/or submitting this Agreement, the Client acknowledges that they have read, understood, and agreed to all terms outlined in this document. The Client further understands that completion of payment serves as acceptance of this Agreement and confirms their intent to proceed with the co-host matching service provided by Mr. Leonardt. No signature is required for this Agreement to become effective.
