By signing below, each of the above listed business and business owner/officer (individually and collectively, "you") authorize Black Tie Funding LLC ("BTF") and Quantum Strategy Partners ("QSP") and each of its representatives, successors, assigns and designees ("Recipients") that may be involved with or acquire commercial loans having daily repayment features or purchases of future receivables including Merchant Cash Advance transactions, including without limitation the application therefor (collectively, "Transactions") to obtain consumer or personal, business and investigative reports and other information about you, including credit card processor statements and bank statements, from one or more consumer reporting agencies, such as TransUnion, Experian and Equifax, and from other credit bureaus, banks, creditors and other third parties. You also authorize BTF and QSP to transmit this application form, along with any of the foregoing information obtained in connection with this application, to any or all of the Recipients for the foregoing purposes. You also consent to the release, by any creditor or financial institution, of any information relating to any of you, to BTF and QSP and to each of the Recipients, on its own behalf. By signing below, you also expressly consent to receive calls, texts, and other communications from BTF, QSP, and their Representatives at the telephone number(s) provided, including through the use of automated telephone dialing systems, artificial or prerecorded voice messages, and SMS text messages regarding your application status, appointment reminders, and other business-related communications. You understand that message frequency varies and standard message and data rates may apply. You may revoke this consent at any time by replying STOP to any text message or by contacting us directly. Your consent is not required as a condition of service. **No Fiduciary Duty; Arms-Length Relationship.** Quantum Strategy Partners LLC ("QSP") is acting solely as an intermediary to assist Applicant in exploring working capital financing options, and QSP is not a fiduciary, agent, attorney-in-fact, partner, lender, financier, or joint venturer of Applicant; no fiduciary relationship of any kind is created by this Application, the QSP's services, referrals, or any financing that may result. The parties are sophisticated business parties engaged in an arms-length transaction, and QSP owes no duty of loyalty, care, or good faith beyond the specific contractual obligations expressly set forth in any written agreement between the parties. QSP is not providing investment advice, financial planning, legal advice, or tax advice, and Applicant should rely solely on its own judgment and its own advisors (legal, financial, tax) in evaluating any financing option. QSP has not made any promises or representations—oral or written—except as expressly set forth in this Application; this Application does not constitute a commitment to lend or to place financing; and any future commitment to seek financing may be presented on a basis of reasonable pre-approval assumed solely by QSP based on revenue and credit profile only, with Applicant to investigate conditional approvals directly with Lender. QSP does not have control over Applicant's business, finances, or decision-making, and does not assume any responsibility for Applicant's management or operations. Nothing in this Application or QSPs services creates a partnership, joint venture, or other special relationship of trust and confidence between the parties. This Application and any subsequent written agreement constitute the entire agreement and supersede all prior oral or written statements; all waivers or modifications must be in writing and signed by both parties. To the extent permitted by law, Applicant waives any right to claim special, consequential, punitive, or exemplary damages against QSP.
