BACKGROUND

This agreement pertains to all present and future business listings advertised and sold by The Brokerage Connection and involves the provision of business identities and the disclosure of confidential information to Prospective Purchasers (or any other individuals designated by the Purchaser), or the Purchaser's disclosure of confidential information to an Authorized Advisor. The confidential information shared is exclusively intended for the purpose of enabling the Prospective Purchaser to conduct due diligence on the business and should not be used for any other purposes.

AGREEMENT

Prospective Purchasers and their Advisors hereby agree with the Vendor and the Broker that, without the prior written consent of The Brokerage Connection, they will not:

Engage in direct communication or transactions with the Vendor, staff, suppliers, customers, landlord, managing agent, or any other parties associated with the business.
Visit the business premises.
Disclose any confidential information, whether within the States & Territories of Australia or elsewhere, to any third parties.
Utilize the confidential information in any manner, including competitive activities or actions detrimental to the Vendor, business, or agent, and must maintain the information in strict confidence to safeguard its confidential nature and secrecy.
Permit any individual to inspect, view, extract, or copy any portion of the confidential information.
Use the confidential information or any part of it in any way, except as required to comply with applicable laws or legally binding orders.

ACKNOWLEDGEMENTS BY THE PROSPECTIVE PURCHASER

The Prospective Purchaser hereby acknowledges that:

They must promptly destroy or return all confidential information to the Broker if requested or if they decide not to purchase the business.
They are bound by this agreement and its terms.
If they proceed with the purchase, they will do so through The Brokerage Connection.

The Brokerage Connection:

The Confidential Information has been compiled from material, information, and unaudited financial records obtained by the Broker from the Vendor, the Vendor's accountants, or advisers. The Brokerage Connection assumes no responsibility for the accuracy of this information, and it is not considered as investment advice.

The Vendor, their employees, or the Broker may incur losses and damages if the Prospective Purchaser breaches any obligations outlined in this agreement and may have the right to claim damages if these terms are not met.

The Broker played a crucial role in introducing the business to the Prospective Purchaser and could suffer losses or damages if the Prospective Purchaser directly contacts the Vendor or another agent.

The Vendor and the Broker retain the discretion to provide the Confidential Information to any other individuals.

The terms and conditions of this agreement shall remain in full force and effect for any other business requests and after the sale of the business(es).
