CONFIDENTIALITY AGREEMENT

This Confidentiality Agreement (the “Agreement”) is entered into by and between the undersigned recipient party (the “Receiving Party”), and the disclosing party (“Provider”), regarding confidential information related to the property or business opportunity described herein.

In consideration of receiving certain confidential and proprietary information from the Provider, the Receiving Party agrees as follows:

I. Confidential Information

Receiving Party acknowledges receipt of confidential information concerning the subject property or business opportunity. Receiving Party agrees not to disclose, distribute, or discuss the existence of this information, or any details thereof, with any person or entity not specifically authorized in writing by the Provider. Confidential information includes, but is not limited to, financial details, lease terms, tenant information, business strategies, and any related documentation provided by the Provider.

II. Non-disclosure and Use Obligations

Receiving Party agrees to:

  • Use the confidential information solely for evaluating the transaction or opportunity.

  • Maintain confidentiality and not disclose information to third parties unless explicitly authorized by Provider.

  • Protect confidential information with the same degree of care as used to protect its own proprietary information.

III. No Contact

Receiving Party agrees not to directly or indirectly contact tenants, property owners, management, vendors, insurers, or customers related to the confidential information without prior written consent from the Provider.

IV. Acting as Principal

Receiving Party confirms it is acting solely as a principal and not as a broker or agent regarding the transaction or opportunity described herein, unless explicitly agreed otherwise in writing with the Provider.

V. Term

This Agreement will remain in effect for a period of two (2) years from the date of execution.

VI. Governing Law

This Agreement shall be governed and construed under the laws of the State of California.
