These Film Festival Submission Terms and Conditions (these "Terms") govern the submission of any film, video, or related materials (each, a "Film") to any film festival, screening event, or competition (each, a "Festival") organized, hosted, or presented by Borderline Entertaining LLC, a Georgia limited liability company ("Company," "we," "us," or "our"). By submitting a Film, you ("Submitter," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, do not submit a Film.
1.1. Submission of a Film to any Festival constitutes your full and unconditional acceptance of these Terms, together with any festival-specific rules, guidelines, deadlines, or requirements published by Company for a particular Festival ("Festival Rules"). In the event of a conflict between these Terms and the Festival Rules for a specific Festival, the Festival Rules will control for that Festival only.
1.2. Company may amend these Terms from time to time. The version of these Terms in effect on the date of your submission governs that submission.
2.1. You must be at least eighteen (18) years of age at the time of submission, or have the submission made on your behalf by a parent or legal guardian who accepts these Terms.
2.2. You must be either (a) the sole owner of all rights in the Film, or (b) duly authorized by all owners of rights in the Film to submit the Film and to grant the rights and licenses described in these Terms. If the Film has multiple rights holders (co-directors, producers, production companies, financiers, or others), you represent that you have the authority to bind all of them to these Terms.
2.3. Employees, officers, and members of Company, members of the selection panel for the applicable Festival, and members of their immediate families or households are not eligible to submit Films for selection.
3.1. Unless otherwise stated in the applicable Festival Rules, each Film must: (a) have a total runtime of thirty-five (35) minutes or less, inclusive of all titles and credits; (b) contain no content that would exceed an "R" rating under the classification guidelines of the Motion Picture Association ("MPA"), as determined by Company in its sole discretion; and (c) be submitted in the format, by the method, and by the deadline specified in the applicable Festival Rules.
3.2. Company may, in its sole discretion, reject, disqualify, or decline to review any submission that is incomplete, late, corrupted, technically unplayable, or that fails to comply with these Terms or the applicable Festival Rules, without refund of any submission fee.
3.3. Company has no obligation to review any submission, in whole or in part.
4.1. Submission fees, if any, will be stated in the applicable Festival Rules. All submission fees are non-refundable, including without limitation if the Film is not selected, if you withdraw the Film, if the Film is disqualified, or if the Festival is rescheduled or canceled, except where a refund is required by applicable law.
4.2. Payment of a submission fee does not guarantee selection, screening, review, feedback, or any other outcome.
5.1. You retain all right, title, and interest in and to your Film, including all copyrights, trademarks, and other intellectual property rights therein. Nothing in these Terms transfers ownership of the Film or any element of it to Company.
5.2. Company retains all right, title, and interest in and to the Festival, including the Festival's name, branding, trailers, programs, event footage, marketing materials, and any compilations or event recordings created by Company (excluding your Film itself).
6.1. Exhibition License. By submitting a Film, you grant Company a limited, non-exclusive, royalty-free, worldwide license to publicly exhibit and perform the Film, in whole, at the Festival for which it was submitted and selected, including any associated encore, rescheduled, or make-up screening of that same Festival. This license does not permit Company to distribute, sell, sublicense, stream, or otherwise commercially exploit the Film beyond exhibition at the applicable Festival.
6.2. Promotional License. You further grant Company a limited, non-exclusive, royalty-free, worldwide license to use the Film's title, synopsis, poster art, still images, and excerpts of up to sixty (60) seconds of the Film, together with your name, approved likeness, and biographical information, solely to promote, market, and publicize the applicable Festival and Company's festival program, in any media now known or hereafter developed (including social media, the Company website, press materials, and event programs).
6.3. Event Documentation. You acknowledge that Company may photograph and record the Festival event itself (including audience reaction, Q&A sessions, and brief incidental footage of the Film as exhibited) and may use such event documentation for archival and promotional purposes.
6.4. The licenses in this Section 6 terminate with respect to your Film if the Film is not selected, upon your valid withdrawal under Section 8, or six (6) months after the applicable Festival, except that Company may continue to use already-published archival and promotional materials referencing the Festival lineup (e.g., past event recaps identifying the Film's title and filmmaker).
7.1. Company will restrict access to submitted Films to Company personnel, the independent selection panel, and service providers reasonably necessary to administer the Festival, each of whom will be instructed to keep submissions confidential.
7.2. Company will not publicly distribute, publish, or exhibit a Film that is not selected, and will not publicly exhibit a selected Film other than as permitted under Section 6.
7.3. Company's confidentiality obligations do not apply to information that is or becomes publicly available through no fault of Company, or that Company is required to disclose by law.
8.1. You may withdraw your Film from consideration or, prior to the Festival, from exhibition, by sending written notice to [email protected] from the email address used at submission, identifying the Film by title and the applicable Festival.
8.2. A withdrawal is effective upon Company's written confirmation of receipt. Company will use commercially reasonable efforts to honor withdrawals received fewer than fourteen (14) days before the Festival, but you acknowledge that late withdrawals may not be reflected in printed programs, advertising, or materials already produced.
8.3. Withdrawal does not entitle you to a refund of any submission fee. Upon effective withdrawal, the licenses in Section 6 terminate except as stated in Sections 6.4 and 8.2.
9.1. Films are reviewed by an independent selection panel. The number of Films selected for any Festival (typically three (3) to five (5)) is determined by Company and may vary.
9.2. All selection, programming, scheduling, and exhibition decisions are made in Company's sole and absolute discretion and are final and not subject to appeal. Company makes no representation regarding the criteria, weighting, or process used by the panel, and owes no duty to provide feedback, scores, or explanations.
9.3. Selection does not guarantee exhibition. Company reserves the right to remove a selected Film from the program at any time, including for content, rights, or technical concerns, scheduling constraints, or event changes.
10.1. Company has no obligation to pay any Submitter for submitting a Film. Submission of a Film creates no entitlement to compensation of any kind.
10.2. Company may, in its sole and absolute discretion, pay filmmakers of selected Films that are actually exhibited at a Festival a portion of that Festival's ticket sales or such other amount as Company may determine. Any published or estimated figures (including ranges communicated in marketing materials or FAQs) are estimates only, are not guarantees, and may be adjusted or withheld by Company based on actual ticket sales, event costs, cancellation, or other factors Company deems relevant.
10.3. Any payment made under this Section is contingent upon: (a) the Film being selected and actually exhibited; (b) your continued compliance with these Terms; and (c) your timely completion of any documentation reasonably requested by Company, including a completed IRS Form W-9 (or applicable equivalent) and payment instructions.
10.4. You are solely responsible for all taxes arising from any payment received. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and Company; you are at all times an independent party.
By submitting a Film, you represent and warrant that:
(a) the Film is your original work, and/or you control all rights in the Film necessary to grant the licenses in these Terms;
(b) you have obtained, at your sole cost, all rights, licenses, consents, releases, and clearances necessary for the exhibition and promotion of the Film as contemplated by these Terms, including without limitation: synchronization and master use licenses for all music; performance releases from all on-screen talent; location releases; and clearances for any third-party footage, artwork, trademarks, or other materials appearing in the Film;
(c) the Film and its exhibition as contemplated herein do not and will not infringe, misappropriate, or violate any copyright, trademark, right of publicity, right of privacy, moral right, or other right of any third party;
(d) the Film is not defamatory and does not contain any content that is unlawful, obscene under applicable law, or that depicts illegal activity in a manner that itself violates law (including without limitation any content involving the sexual exploitation of minors, which will be reported to authorities);
(e) no third party has any claim, lien, or encumbrance on the Film that would interfere with the rights granted to Company;
(f) all information provided in your submission is true, accurate, and complete; and
(g) your submission and participation comply with all applicable laws, and, if applicable, with the rules of any guild, union, or collective bargaining agreement covering the Film.
You agree to defend, indemnify, and hold harmless Company and its members, managers, officers, employees, contractors, panelists, sponsors, venues, and agents (collectively, the "Company Parties") from and against any and all claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Film or its exhibition or promotion as permitted by these Terms; (b) any breach or alleged breach of your representations, warranties, or obligations under these Terms; or (c) your negligence, willful misconduct, or violation of law.
Company reserves the right, in its sole discretion and without liability, to decline to exhibit, or to cease exhibiting, any Film that Company believes: (a) violates these Terms or the Festival Rules; (b) exceeds an "R"-equivalent rating; (c) may infringe or violate the rights of any third party; (d) may expose Company to legal risk or reputational harm; or (e) is otherwise inconsistent with the character of the event.
14.1. Company may, in its sole discretion, change the date, time, venue, format (including to a virtual or hybrid format), program, lineup, or any other aspect of a Festival, or cancel a Festival in whole or in part, at any time and for any reason.
14.2. Company will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, fire, flood, severe weather, epidemics or pandemics, government action, venue unavailability, labor disputes, utility or technical failures, or civil disturbance.
14.3. In the event of cancellation, Company's sole obligation, and your sole remedy, shall be, at Company's election, either rescheduling of the Festival or such other accommodation as Company reasonably determines. Cancellation does not entitle you to compensation, damages, or reimbursement of costs you incurred in connection with your submission or anticipated participation.
You acknowledge that: (a) Company may receive submissions that are similar in theme, concept, or content to your Film, and Company's independent development, acquisition, or exhibition of similar material shall not create any liability to you; (b) you have not submitted the Film in reliance on any statement, estimate, or projection not expressly set forth in these Terms; and (c) Company owes you no fiduciary duty.
Physical or digital materials submitted will not be returned. You should retain copies of everything you submit. Company may delete or destroy submission materials for non-selected Films at any time after the applicable Festival.
THE FESTIVAL AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT ANY FILM WILL BE REVIEWED, SELECTED, EXHIBITED, OR PROMOTED, OR THAT ANY LEVEL OF ATTENDANCE, TICKET SALES, OR EXPOSURE WILL BE ACHIEVED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL THE COMPANY PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR ANY FESTIVAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE COMPANY PARTIES' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY FESTIVAL SHALL NOT EXCEED THE GREATER OF (i) THE SUBMISSION FEE ACTUALLY PAID BY YOU FOR THE APPLICABLE FESTIVAL OR (ii) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
19.1. These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles.
19.2. Any dispute arising out of or relating to these Terms or any Festival shall be brought exclusively in the state or federal courts located in [Fulton County], Georgia, and each party irrevocably consents to the personal jurisdiction and venue of such courts.
19.3. Each party waives any right to a jury trial and any right to participate in a class or representative action, to the maximum extent permitted by law. Any claim must be brought within one (1) year after the claim accrues, or it is permanently barred.
20.1. Entire Agreement. These Terms, together with the applicable Festival Rules, constitute the entire agreement between you and Company regarding your submission and supersede all prior or contemporaneous understandings.
20.2. Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
20.3. No Waiver. Company's failure to enforce any provision is not a waiver of its right to do so later.
20.4. Assignment. You may not assign these Terms or any rights hereunder without Company's prior written consent. Company may assign these Terms in connection with a reorganization, merger, or sale of assets.
20.5. Survival. Sections 5, 6.4, 7, 10.4, 11, 12, and 15 through 20 survive any termination or expiration of these Terms.
20.6. Notices. Notices to Company must be sent to [email protected]. Notices to you may be sent to the email address provided at submission.
By submitting a Film, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
