CLIENT SERVICE AGREEMENT
This Agreement is made between Ad Grants Genie Ltd. ("Company"), incorporated under the laws of Canada, with its principal place of business at 9655 49 Ave NW, Edmonton, AB, T6E 5Z5, Canada, and the undersigned ("Client").
1. SCOPE OF SERVICES
The Company agrees to provide a comprehensive "Done for You Grants Service Program" aimed at assisting the Client in applying for and obtaining approval for the Google Grants Program. This service includes:
Non-Profit Registration: Registering the Client's non-profit 501(c)(3) organization.
IRS Compliance: Obtaining IRS non-exempt status and, when required, an Employer Identification Number (EIN).
Documentation Provision: Provision of all approved non-profit documents, including incorporation documents and organizational structure.
Google Grants Application: Complete management of the application process for the Google Grants Program, aimed at securing approval for the Client.
Google Ad Campaigns Setup: Upon approval, 3 Google Ad Campaigns will be setup for the Client's non profit website.
Client Obligations: The Client is required to provide all necessary information and documentation in a timely manner, as requested by the Company, to facilitate the registration and application processes.
2. Timeline and Communication
The service timelines are as follows:
For U.S. residents, the service process typically takes 6-8 weeks.
For foreign residents, the process may take 8-12 weeks.
The Company will endeavor to expedite the process but notes that timelines are subject to the processing times of relevant authorities, particularly the IRS. The Company will inform the Client of any anticipated delays. The processing times stated above are just estimates and could vary.
3. Data Protection and Privacy
The Company shall not be held liable for any legal or financial disputes, liabilities, or consequences arising from the Client's management, operation, or handling of the non-profit organization.
The Company shall not be responsible for yearly tax filings, legal matters, or any decisions regarding compensation from the Client’s brand to the non-profit. Any and all responsibilities and liabilities pertaining to the aforementioned matters shall solely reside with the Client.
The Company is committed to protecting the Client's data, using it exclusively for the purpose of non-profit registration and application to the Google Grants Program. The Company will retain the Client's data for a period necessary to fulfill these services and comply with legal obligations. All data will be stored securely, with access restricted to authorized personnel only.
4. Client Benefits
Upon enrollment, the Client gains immediate access to a private members' area, which includes:
Instant Mission Mapper: A service to help clarify the non-profit's mission and vision, crucial for defining its goals and objectives.
Non-Profit Website Installation: We will create, design, and install a website compliant with the Google Grants program, providing a professional online presence for your non-profit.
Free Domain & Hosting: One year of free domain and hosting, essential for maintaining your non-profit's website. After one year, clients have the option to continue with our hosting plans or transfer their site to another provider.
Sales Funnel & Landing Page Builder: One year of free access to CartFlows, a premier sales funnel builder with pre-installed templates for landing pages, A/B testing, and lead capture, enhancing your website's marketing capabilities.
Google Ads Playbook: Includes strategies like the 'Fisher Campaign' and the 'Sniper Campaign', designed to streamline and optimize your Google Ads efforts with minimal time investment.
Additionally, Clients receive access to our proprietary toolkit designed to optimize Google Ads management:
Audience Magnifier Map: Helps identify precise audience group for targeted advertising.
Google Keywords & Ads Wizard: Simplifies the creation of keyword lists and search ads for your advertising campaigns.
Irresistible Lead Bait Wizard: Assists in developing engaging content for email and SMS marketing.
Brand Sponsored Posts Generator: Crafts pre-sell content to warm up audiences to your products.
Ad Compliance Checker Bot: Ensures your ads meet Google's policy requirements before going live.
These tools are tailored to empower Clients in managing and optimizing their Google Ads for the best possible outcomes.
5. Limitation of Liability
The Company's liability ends with the approval of the Google Grants account. Post-approval support, available for 60 days, includes assistance with account setup and initial campaign strategies. This support does not cover ongoing management or compliance with Google's policies.
6. Payment and Deliverables
Upfront Payment ($7,800): Covers the full scope of services outlined in Section 1. Upon receipt, the Company will commence the registration and application processes.
Installment Option ($4,800 x 2): The first installment initiates the service, and the second, due 30 days later, continues support through completion.
7. Refund Policy
Refunds are considered if:
The Google Grants account application is rejected.
An unforeseen issue prevents the Company from completing the application.
Refund requests must be submitted within 30 days of the issue arising. Registration fees of $1500 are non-refundable..
8. General Provisions
This Agreement constitutes the entire agreement between the parties.
Amendments must be in writing and signed by both parties.
Governed by the laws of Canada.
9. Disclaimer of Guarantees
9.1. The Company expressly declares that it is not affiliated with Google, Amazon, or any of their affiliates or subsidiaries. References to these entities are for illustrative purposes only and do not imply any form of partnership or endorsement.
10. Affiliation Disclaimer
10.1. The Company does not promise or guarantee any specific outcomes, including sales, revenue, profits, or business growth, as a result of utilizing the ad grants. The application and utilization of ad grants for non-profit organizations are provided as a service, and the manner in which the brand owners utilize these grants is solely their responsibility.
10.2. Examples and illustrations of past performances or results achieved by the Company are provided as references only and do not guarantee similar outcomes for the Client. Each client's success depends on their unique situation, efforts, and the market environment.
11. Ownership and Responsibility
11.1. While the Company assists in setting up the non-profit organization, final approval and decisions regarding the setup and management of the non-profit lie with the Client. The non-profit organization will be 100% owned by the Client, and any actions taken or decisions made concerning the non-profit are the Client's sole responsibility.
11.2. The Company is not liable for any accounts suspended by Google. While guidelines on maintaining a healthy Google Ad account will be provided, adherence to these guidelines and the consequences of failing to do so are the Client's responsibility.
12. Compliance and Legal Responsibility
12.1. It is the sole responsibility of the non-profit's owner to follow all guidelines and regulations set forth by the IRS and other government organizations. Failure to accurately report earnings, file required paperwork, or comply with legal requirements falls entirely on the Client and not on Ad Grants Genie Ltd.
12.2. The Company does not file paperwork with the IRS on behalf of the Client. The Client must review, approve, and sign all documents with their sole discretion. The Company's role is to assist in the process, not to direct or make decisions for the Client.
13. Legal and Accounting Disclaimer
13.1. The Company is not a legal or accounting firm and does not provide legal, tax, or accounting advice. Clients are encouraged to seek independent legal counsel or accounting services for any matters requiring professional advice. The Company's services are focused on facilitating the registration process of the non-profit through third-party services that the Company has experience with.
Client Acknowledgment
The Client acknowledges having received, read, and understood all documents and materials related to the services provided, including these additional provisions. The Client confirms full awareness of their obligations and the scope of services provided under this Agreement.
