Credit Repair Affiliate Agreement

This Affiliate Referral Agreement ("Agreement") is entered into between Resilient Partners LLC ("Company") and the undersigned Affiliate ("Affiliate"), effective as of the date signed below.

1. Purpose

The purpose of this Agreement is to establish the terms and conditions under which the Affiliate will refer prospective clients to Resilient Partners LLC for credit repair services in exchange for referral compensation.

2. Independent Contractor Relationship

The Affiliate is an independent contractor and is not an employee, agent, partner, joint venturer, or representative of Resilient Partners LLC. Nothing contained in this Agreement shall be construed as creating an employer-employee relationship.

The Affiliate is solely responsible for all federal, state, and local taxes arising from commissions earned under this Agreement.

3. Affiliate Responsibilities

The Affiliate agrees to:

  • Promote the Company's services honestly, ethically, and professionally.

  • Accurately represent the Company's products and services.

  • Use only Company-approved marketing materials, logos, branding, and promotional content unless prior written approval is obtained.

  • Conduct all marketing activities in compliance with applicable laws and regulations.

  • Protect all confidential Company and client information.

The Affiliate agrees not to:

  • Guarantee credit score increases or specific results.

  • Make false or misleading statements about the Company's services.

  • Offer discounts, promotions, or pricing not authorized by the Company.

  • Sign contracts or agreements on behalf of the Company.

  • Collect payments from clients unless expressly authorized in writing by the Company.

4. Qualified Referral

A referral will be considered a Qualified Referral only if all of the following conditions are met:

  • The referred individual is a new client who has never previously enrolled with Resilient Partners LLC.

  • The client identifies the Affiliate as the referral source.

  • The client completes the enrollment process.

  • The client signs all required agreements.

  • The client's initial payment has been successfully processed and received by the Company.

The Company reserves the sole right to determine whether a referral qualifies for commission.

5. Affiliate Compensation

The Company agrees to pay the Affiliate:

$50.00 USD for each Qualified Referral.

A commission becomes earned only after:

  • The client has completed enrollment;

  • The initial payment has cleared successfully; and

  • The Company verifies that all referral requirements have been satisfied.

No commission will be paid for:

  • Existing clients

  • Duplicate referrals

  • Self-referrals

  • Fraudulent referrals

  • Cancelled enrollments

  • Declined or failed payments

  • Chargebacks or refunded transactions

6. Payment Terms

Affiliate commissions will be paid on a weekly or bi-weekly basis, as determined by the Company.

Payments will be made using the Company's approved payment method after referral verification.

The Company reserves the right to delay or withhold payment while investigating suspected fraud or disputes.

7. Compliance

The Affiliate agrees to comply with all applicable federal, state, and local laws, including but not limited to:

  • Federal Trade Commission (FTC) Advertising Guidelines

  • Credit Repair Organizations Act (CROA)

  • CAN-SPAM Act

  • Telephone Consumer Protection Act (TCPA), where applicable

  • Consumer protection laws

  • All applicable advertising regulations

The Affiliate is solely responsible for ensuring that all marketing activities comply with these laws.

8. Confidentiality

The Affiliate agrees to keep confidential all non-public information received from the Company, including but not limited to:

  • Client information

  • Pricing

  • Marketing strategies

  • Training materials

  • Business operations

  • Internal documents

  • Proprietary processes

This obligation survives termination of this Agreement.

9. Intellectual Property

All trademarks, logos, marketing materials, graphics, website content, and other intellectual property remain the exclusive property of Resilient Partners LLC.

The Affiliate receives a limited, non-exclusive, revocable license to use approved Company materials solely for promoting Company services during the term of this Agreement.

10. Code of Conduct

The Affiliate agrees to maintain the highest ethical standards.

The Affiliate shall not:

  • Misrepresent Company services.

  • Promise credit repair results.

  • Claim to be an attorney, financial advisor, or legal representative unless properly licensed.

  • Mislead consumers regarding the credit repair process.

  • Use deceptive advertising or false testimonials.

  • Harass prospective clients.

  • Damage the Company's reputation.

11. Fraud Prevention

The following activities are strictly prohibited:

  • Creating fake leads

  • Submitting false client information

  • Self-referrals

  • Multiple referrals using different identities

  • Referral manipulation

  • Unauthorized incentives

  • Identity fraud

  • Chargeback fraud

Violation of this section may result in:

  • Immediate termination

  • Cancellation of unpaid commissions

  • Permanent removal from the Affiliate Program

  • Legal action where appropriate

12. Term and Termination

This Agreement remains effective until terminated by either party.

Either party may terminate this Agreement at any time by providing written notice.

Resilient Partners LLC may terminate this Agreement immediately if the Affiliate:

  • Violates this Agreement;

  • Commits fraud;

  • Uses deceptive marketing practices;

  • Violates applicable laws;

  • Damages the Company's reputation.

Termination does not entitle the Affiliate to commissions that have not yet qualified under this Agreement.

13. Limitation of Liability

Resilient Partners LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from participation in the Affiliate Program.

14. Indemnification

The Affiliate agrees to defend, indemnify, and hold harmless Resilient Partners LLC, its owners, officers, employees, contractors, successors, and affiliates from any claims, liabilities, damages, losses, costs, or expenses arising from the Affiliate's conduct, negligence, or breach of this Agreement.

15. Modifications

Resilient Partners LLC reserves the right to modify this Agreement or the Affiliate Program at any time. Notice of material changes will be provided to Affiliates. Continued participation after notice constitutes acceptance of the revised Agreement.

16. Governing Law

This Agreement shall be governed by and interpreted under the laws of the state in which Resilient Partners LLC is organized, without regard to conflict of law principles.

17. Entire Agreement

This Agreement constitutes the complete understanding between the parties regarding the Affiliate Program and supersedes all prior discussions, representations, or agreements.
