Terms and Conditions

This Agreement constitutes the entire understanding between Ninnah Rose Management and the Client, superseding all prior negotiations, representations, commitments, and communications, whether written or oral.


1. Booking Fee

The booking fee is non-refundable.

In the event that multiple clients request services for the same date,
preference will be given to the client who pays the booking fee first.

2. Payment Terms

A deposit of fifty percent (50%) of the total agreed quotation fee is required to reserve services.

For events within Johannesburg, the remaining 50% must be paid at least 48 hours before the scheduled event. For events outside Johannesburg, the remaining 50% must be paid at least 14 days prior to the event date.

All fees are as outlined in the signed quotation.

3. Invoices & Payment Channels

Invoices will be sent electronically via email, WhatsApp, or other accessible digital platforms.

It is the Client’s responsibility to ensure timely settlement of all invoices by their respective due dates.

4. Non-Payment & Cancellations

Failure to pay as agreed may result in cancellation of services without any refund of previously paid fees.

If the Client cancels an event within 14 days of the event date, 100% of the agreed total fee will still be charged.

For events outside Johannesburg, cancellation at any point after this Agreement is signed will result in the Client being liable for the full invoiced amount, due to costs and damages incurred by Ninnah Rose Management and associated parties.

5. Rescheduling

Rescheduling will only be accommodated if the new date is available.
If the new date conflicts with another confirmed booking, Ninnah Rose Management is under no obligation to accommodate the change.

6. Venue Access

The Client is responsible for ensuring access to all event locations for Ninnah Rose Management staff, contractors, affiliates, and suppliers at the agreed-upon times. This is necessary for proper execution of all agreed services.

7. Creative Direction

Styling, layout, and creative aspects are at the discretion of Ninnah Rose Management but require the Client’s approval before the event date.

Where there is disagreement, both parties agree to make reasonable efforts to mediate and finalize such matters prior to the event.

8. Force Majeure & Liability

Ninnah Rose Management is not liable for disruptions or failures due to factors beyond its control, including but not limited to:

Bad weather Vendor delivery delays Guest interference Power outages Accidents Photography/videography interruptions

Should conditions pose a danger (e.g., intoxicated guests, use of firearms, drugs, excessive smoking, nudity, or hazardous items), Ninnah Rose Management reserves the right to withdraw from the venue and remove equipment without any refund or compensation.

9. Right to Terminate

Ninnah Rose Management reserves the right to terminate this Agreement at any time due to accident, illness, or other reasonable cause.
In such cases, all funds paid by the Client will be refunded, excluding the non-refundable booking fee.

10. Subcontracting

Ninnah Rose Management reserves the right to subcontract any portion of the work in cases of illness or unavailability of its staff, affiliates, or suppliers.
This does not entitle the Client to any discount or refund.

11. Liability Limitation

Any liability on the part of Ninnah Rose Management is strictly limited to the amount paid by the Client under this Agreement.

12. Use of Event Media

Ninnah Rose Management reserves the right to use photographs or video footage taken by its team—or by the Client’s
photographer/videographer—for marketing, social media, and promotional purposes.

13. Additional Work on Event Day

Additional services not covered in the original quotation but required on the event day will be billed at R500 per hour, per team member, post-event.

14. Postponements or External Cancellations

In the event of postponement or cancellation due to circumstances outside Ninnah Rose Management’s control (e.g., pandemic, natural disaster, civil unrest), the Client will be charged for any work completed prior to cancellation, including

an administrative fee where applicable.

15. Third-Party Service Recommendations

Should Ninnah Rose Management recommend third-party vendors or services, it does so without accepting any liability for those products or services. The Client remains fully responsible for contracts signed with such
third parties.

16. Oversight and Coordination

If required to manage or oversee third-party vendors, Ninnah Rose Management will communicate the relevant requirements and expectations.
However, the Client remains fully liable under the terms of any contracts they have entered with third-party service providers.

17. Third-Party Equipment Hire

Deposits paid for third-party equipment hire are non-refundable.

18. Acceptance of Terms

By accepting any quotation or invoice from Ninnah Rose Management, the Client confirms and agrees to all terms and conditions outlined in this Agreement in full.
