Recovery Strike Force: Terms of Engagement

1. Exclusivity of Mission Upon submission of a case, RSF is the exclusive agent for the recovery of the debt. Client shall immediately cease all direct collection efforts and warrants that no other third-party firm, consultant, or agency is currently engaged for this specific account.
2. Authority to Settle To ensure maximum operational speed, Client grants RSF the following settlement authority:
Unilateral Authority: RSF is authorized to settle the debt for any amount equal to or greater than 50% of the placed amount without further prior written authorization from the Client.
Sub-50% Settlements: For any settlement offers below 50% of the placed amount, a verbal agreement from the Client (via phone or in-person) shall be deemed sufficient and binding authorization for RSF to execute the settlement with the debtor.
3. Contingency Fee Structure RSF operates on a "No Recovery, No Fee" basis. Our commission is calculated as a percentage of the gross amount recovered (including principal, interest, and late fees):
Domestic (U.S.) Accounts: 15% of the total amount collected.
International (Non-U.S.) Accounts: 30% of the total amount collected.
4. Payment Collection & Remittance
Direct Payment to RSF: Client authorizes RSF to instruct the debtor to remit all payments directly to RSF. RSF will remit the balance to the Client, minus the applicable fee, within ten (10) business days of funds clearing.
Direct Payment to Client: If the debtor pays the Client directly after the case has been submitted, the Client must notify RSF immediately. The applicable contingency fee is due to RSF within five (5) business days.
5. Withdrawal & Cancellation Fee RSF commits significant intelligence and logistical resources immediately upon engagement.
Cancellation Policy: If the Client withdraws the mission within the first 30 days of engagement AND before RSF has issued an initial notice to the debtor, the Client shall be liable for a $25,000 cancellation fee, plus any out-of-pocket expenses incurred during mobilization.
Post-Notice Withdrawal: Once an initial notice has been issued, the case cannot be withdrawn without payment of the full applicable contingency fee based on the total placed amount. 6. Litigation & Court Costs Should RSF recommend legal action, all court costs, filing fees, and process server expenses shall be borne solely by the Client. These are separate expenses and are not included in RSF’s contingency fee.
7. Successor Entities & Bankruptcy: RSF’s right to its contingency fee remains in effect regardless of changes to the debtor’s or the client's corporate status. This includes, but is not limited to, the sale of the debtor’s company, mergers, or distributions received through bankruptcy proceedings. RSF is entitled to its fee on any funds recovered from successor entities or bankruptcy trustees. In the event the Client is acquired, merged, or sells its accounts receivable, this Agreement shall remain binding upon the Client's successors and assigns.
8. Client Representations & Indemnification Client warrants that all submitted debts are valid, legally enforceable, and not the result of identity theft or clerical error. Client agrees to indemnify and hold RSF harmless against any claims, damages, or legal fees (including FDCPA or regulatory claims) arising from inaccurate or fraudulent information provided by the Client regarding the debtor or the debt.
9. Governing Law This agreement is governed by the laws of the State of Michigan. Any disputes shall be settled in the courts of Ottawa County, Michigan.10.
