1. Scope of Work

The Company agrees to provide all necessary parts required to complete windshield installation jobs, while the Contractor agrees to provide labor, skills, and adhesive materials necessary to successfully complete the jobs assigned by the Company.

2. Job Completion and Proof

Upon the successful completion of each job assigned by the Company, the Contractor agrees to upload a picture of the completed job to the Company's Customer Relationship Management (CRM) system as proof of successful installation.

3. Compensation

For each successfully completed installation, the Contractor shall be compensated at the agreed upon rate noted below. The Contractor's total compensation for each pay period will be calculated based on the number of successfully completed installations during that period.

4. W-9 and Service Area

Before commencing work, the Contractor shall complete a Form W-9, providing their taxpayer identification number and other required information. Additionally, the Contractor shall provide a list of their service area, specifying the geographic locations or regions in which they are available to perform installations.

5. Non-Solicitation

The Contractor acknowledges that they are providing services to the Company's customers and agrees not to solicit, directly or indirectly, any Company customer for their personal gain or for any competing business interest, during the term of this Agreement and for a period of 3 years after its termination.

6. Governing Law and Jurisdiction

Any dispute arising out of or related to this Agreement shall be resolved in accordance with the laws of the state of North Carolina. The parties agree to submit to the exclusive jurisdiction of the courts located in North Carolina for any legal proceedings or disputes.

7. Entire Agreement

This Agreement contains the entire understanding between the Company and the Contractor and supersedes all prior agreements, understandings, and negotiations, whether oral or written, relating to the subject matter herein.

8. Amendments

This Agreement may only be modified in writing and signed by both parties.

9. Termination

Either party may terminate this Agreement with written notice. Upon termination, the Contractor shall be compensated for completed jobs according to the terms herein.

10. Confidentiality

The Contractor shall maintain the confidentiality of all proprietary information, including customer data and trade secrets, obtained during the course of providing services to the Company.

11. Governing Law and Jurisdiction

Any dispute arising out of or related to this Agreement shall be resolved in accordance with the laws of the state of North Carolina. The parties agree to submit to the exclusive jurisdiction of the courts located in Wake County, North Carolina for any legal proceedings or disputes.
