Referral Partner Agreement
This Referral Partner Agreement ("Agreement") is made between Rate Remover Software, Inc. ("RRS") having a place of business at 6817 Main St Second Floor Red Creek, NY 13143 and the individual or business identified above ("Referral Partner"), effective as of the date signed by both parties.
The Referral Partner agrees to refer prospective merchants ("Leads") to RRS. Once a Lead is submitted, RRS will handle all sales, onboarding, underwriting, and support for the merchant.
Upon execution of this Agreement, the Referral Partner will be added as a subagent under RRS with Electronic Payments, Inc. ("EPI"), the third-party payment processor. The Referral Partner's subagent status allows them to receive residual payments directly from EPI.
The Referral Partner's responsibilities are limited to:
a) Submitting Leads to RRS using the contact form provided by RRS.
b) Optionally, installing the payment terminal for any approved merchant they refer. If the Referral Partner will not be installing the terminal, they must indicate this when submitting the Lead.
The Referral Partner is not required to meet any quotas or minimum referral requirements.
The Referral Partner is not required to pay any sign-up fees, monthly fees, or ongoing fees to participate in this program.
The Referral Partner does not receive a demo account for RRS software.
For each referred merchant that is approved and begins processing with EPI, the Referral Partner will receive 25% of the residual income generated by that merchant.
a) EPI pays the Referral Partner directly for their portion of the residuals.
b) EPI pays RRS separately for RRS's portion of the residuals.
c) Residual payments are made on the 5th of each month, per EPI's standard payout schedule.
d) Residuals are paid for the life of the merchant account, as long as the merchant remains active and processing.
e) Reporting on merchant activity and residuals is provided by EPI.
RRS does not warrant, guarantee, or assume liability for the actions, performance, or services of EPI. Any processing-related decisions, disputes, or issues are solely between the merchant and EPI.
The Referral Partner is an independent contractor and is not an employee, agent, or legal representative of RRS. The Referral Partner has no authority to bind RRS or make commitments on its behalf.
This Agreement does not restrict the Referral Partner from working with other payment processors, software providers, or referral programs.
Any merchant information, pricing structures, or proprietary materials provided by RRS must be kept confidential and used only for the purpose of making referrals under this Agreement.
Either party may terminate this Agreement at any time with written notice.
Upon termination, the Referral Partner will continue to receive residuals from EPI on all merchants they referred, for as long as those merchants remain active and processing.
RRS is not liable for any indirect, incidental, or consequential damages arising from or related to this Agreement.
