BUYER CONFIDENTIALITY AGREEMENT & REQUEST FOR INFORMATIONAL MATERIALS.

Property: 12512 S US Highway 71, Grandview, MO 64030 – Comfort Suites (2021 Construction)

Broker: Omid Shahbazian – eXp Commercial

This Confidentiality Agreement (the “Agreement”) is made by and between the undersigned (“Prospective Purchaser”) and Omid Shahbazian (“Broker”) in connection with the possible acquisition of the above-referenced property (the “Property”).

The confidential informational materials (the “Informational Materials”) to be provided by Broker or Seller may include operating statements, financial records, site plans, rent rolls, tax statements, and other documents relevant to evaluating the Property. These materials are intended solely for use by Prospective Purchaser in considering a potential purchase of the Property and may not be copied, distributed, or used for any other purpose without prior written consent of Broker.

By executing this Agreement, Prospective Purchaser agrees to the following:

1. Confidentiality – All Informational Materials will be treated as strictly confidential and shall not be disclosed to any third party, except to legal counsel, lenders, partners, or advisors directly involved in evaluating the transaction, all of whom shall be informed of the confidential nature of the materials and bound by the same.

2.  No Representation or Warranty – Broker and Seller make no representation or warranty as to

the accuracy or completeness of the Informational Materials. Prospective Purchaser accepts the information “as is” and agrees to rely solely on its own due diligence.

3.  No Contact with Property or Staff – Prospective Purchaser shall not contact any tenants,

property staff, or vendors related to the Property without written consent of Broker.

4.  Brokers – Unless otherwise agreed in writing, Broker is acting as the exclusive agent for the Seller. Prospective Purchaser agrees that it has no right to any commissions from Seller and will indemnify Broker and Seller from claims of any other brokers not disclosed herein.

5.  Return or Destruction – If Prospective Purchaser chooses not to proceed with a purchase, all

Informational Materials must be returned or destroyed upon request.

6.  No Obligation – Neither Broker nor Seller is under any obligation to accept any offer, and no obligation shall arise unless and until a written purchase agreement is executed.

7. Term – The confidentiality obligations of this Agreement shall survive for a period of two (2) years from the date signed.
