1.1 Agreement: This agreement is between “Company” (listed above) and Strategic Point Marketing (SPM). This agreement is for the purpose of creating a marketing system for Company under the guidance of SPM Consultants. According to this agreement, SPM will create marketing, sales and business tools that Company can implement to see growth in sales and revenue. This agreement authorizes Company to implement the SPM system, thereby updating and maximizing the effectiveness of Company’s marketing materials and processes, including lead generation, customer conversion, and revenue per transaction. [All per item(s) selected on this form.] Parts of this program will not be owned by said Company unless the full terms of the agreement are fulfilled.

1.2 Confidentiality: For proper execution of this program, SPM Consultant may need access to certain Company confidential information, including usernames, passwords, future plans, business strategies, customer lists, financial information, and other proprietary information (collectively, the "Confidential Information"). SPM Consultant agrees to take reasonable steps to ensure that Confidential Information is not divulged, disclosed, or communicated to any third party without the prior written consent of Company. Confidential Information shall not include information previously known to SPM Consultant, properly received from a third party, or in the public domain. Company also understands that the aesthetics and general layout of marketing materials will be used in future marketing for SPM.

1.3 Payment: Company’s first payment will be due at the time this agreement is signed, unless otherwise agreed upon and noted on this document. Payments will be made payable to “Strategic Point Marketing”. Credit card payment is required for monthly payments. For payment in full, SPM offers a 10% discount and will accept payment by check, cash, or credit card.

1.4 Duration Of Agreement: The duration of this agreement is no less than twenty-four (24) months. All payments will be billed on the first of each month. At the end of the 24 month agreement, all clients will continue to be billed for 50% of the rate listed on this agreement. This agreement may not be cancelled prior to completion of the twenty-four (24) month period. Company may cancel this agreement following the twenty-four (24) month period by providing written notice of cancellation to SPM. If Company cancels agreement prior to the twenty-four (24) month period, Company is responsible for immediate payment (within one month of date of cancellation) of the remaining amount due under this agreement.

1.5. Creation of Marketing / Action Items: SPM will offer feedback and assistance on the item(s) listed on this agreement. SPM Project Manager will have discretion to accept or reject requests for additional services or items.

1.5.1 Fulfillment: All marketing will be paid IN ADDITION to this agreement. The two main sources that will need the Companies credit card will be Google AdWords and META. Charges for ads will be paid by said Company and NOT BY STRATEIC POINT MARKETING nor Joshua Ramsey or LLC’s/DBA’s owned by Joshua Ramsey.

1.5.2 Graphic Design: Graphic design will be completed by the SPM team based on the color pallet agreed to or based on current marketing content of the said Company. Additional products may be purchased from SPM for an additional charge of $165 per hour.

1.5.3 Video Hours: If Company selects video as one of the included items, SPM will provide and video editing free of charge under this agreement to complete the full amount of video production listed. Additional hours may be purchased at $125 per hour.

1.5.4 Writing Credits: SPM will produce written content with design for the above items. SPM will also provide written content at a rate of $165 per hour, as needed.
