TV Broadcast Membership Agreement

This Broadcast Membership Agreement (“Agreement”) is made and entered into as of the date in this Agreement, by and between:

PTWWN Broadcasting Inc. (“PTWWN”), a company organized under the laws of [State/Country], with its principal place of business at 3300 Holcomb Bridge Rd, Peachtree Corners, GA 30092,

and

Broadcaster Name as listed above in this form (“Broadcaster”).

Note: This Agreement is contingent upon the Broadcaster’s membership in the Gideon 300 program and maintaining good standing as a member throughout the term of this Agreement.

1. Purpose
PTWWN agrees to broadcast the Broadcaster’s religious programming (“Program”) on the following platforms as part of the Broadcaster’s membership in the Gideon 300 program:

• MultiChoice Pay-TV (DStv)

• AMOS-17 Satellite

• Roku

• Amazon Fire TV

• Apple TV

• Android TV

2. Term
This Agreement shall commence on the date in this Agreement and continue for a period of [Term Length], unless terminated earlier in accordance with this Agreement.

3. Program Delivery
Broadcaster shall deliver the Program in the format and specifications agreed upon by both parties, ensuring all content complies with applicable laws and platform guidelines.

4. Broadcast Schedule
PTWWN will determine the broadcast schedule, offering priority scheduling on a first-come, first-served basis as per the Gideon 300 membership benefits. PTWWN will provide Broadcaster with the schedule in advance.

5. Rights and Ownership
Broadcaster retains all intellectual property rights to the Program. PTWWN is granted a non-exclusive license to broadcast the Program during the term of this Agreement.

6. Content Standards
The Program shall be religious in nature and must adhere to standards of decency and respect for all audiences. PTWWN reserves the right to reject or remove any content deemed inappropriate or in violation of platform policies.

7. Compensation
Broadcaster shall receive FREE TV airtime as part of the Gideon 300 membership benefits. No monetary compensation shall be exchanged between the parties for airtime under this Agreement.

8. Technical Support
PTWWN shall provide reasonable technical support to Broadcaster to facilitate high-quality broadcasts.

9. Content Replacement
In the event that PTWWN’s agreement with DStv or any other platform is discontinued or ends, PTWWN will make reasonable efforts to replace the Program’s broadcast on another cable or satellite platform with comparable reach and audience, ensuring continued exposure for the Broadcaster’s message.

10. Indemnification
Each party agrees to indemnify and hold harmless the other from any claims, damages, or liabilities arising out of breaches of this Agreement or unlawful content.

11. Termination
Either party may terminate this Agreement with written notice of [Number] days if the other party breaches any material term and fails to cure within the notice period.

12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [State/Country].

13. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings.
