Business Services Agreement

This Business Services Agreement (this "Agreement"), dated as of

for the purpose of carrying out the matters set forth herein (collectively "Client”), and [Business Funding Now], as per the terms below.

SCOPE AND DUTIES. Client retains and hires [Business Funding Now] to provide business services in relation to obtaining Credit Lines ("Services") to Client and assistance in establishing financial and credit accounts of behalf of Client and Client's business, including credit cards, lines-of-credit, bank loans, equipment financing, vendor accounts or other similar financial accounts (each an "Account" and collectively, "Accounts") with lenders, vendors and other financial service providers ("Lender"). At [Business Funding Now]'s discretion and at any time after the Effective Date, may evaluate the creditworthiness of Client by obtaining a credit report or other background information about Client or Client's Business from appropriate sources. Client hereby authorizes [Business Funding Now] to obtain such information. Client hires [Business Funding Now] to provide additional business services including but not limited to: assistance with incorporating or reorganizing a business entity, strategies to minimize interest, building business credit, strategies to raise business and personal credit scores and limits, and declination reconsideration requests.
TERM. The term of this Agreement (the "Term") shall be one (1) year from the Effective Date (the "Term").
FEES. Client agrees to pay the following fees (collectively, the "Fees"):
Unsecured Funding Success Fee
Client agrees to a Success Fee Percentage (%) of the total approved credit limits or funding obtained, applicable to both credit lines and business term loans. This Success Fee is payable only after verifies the aggregate approved credit limits or loan amounts resulting in issued credit lines or business term loans to the Client.
Completion of Credit and Loan Applications
The Credit and Loan Approval Fee is fully earned upon the completion of the application process for both credit lines and business term loans. Payment of this fee is non-refundable once received.
All amounts due to will be billed promptly as outlined in this agreement. Any unpaid balance exceeding fifteen (15) days may result in suspension of services provided by and legal action to secure unpaid balance.
Interest Rates and Credit Terms
will use best efforts to provide accurate information regarding interest rates and terms for both new credit accounts and business term loans. However, no guarantee is provided as to the specific interest rates or terms that lenders may ultimately extend to the Client.
Credit and Loan Reporting
Client acknowledges that does not control how banks or lenders choose to report credit lines or term loans. Lenders may choose to report credit lines or term loans, particularly those personally guaranteed, to Business and Personal Credit Bureaus at their discretion.
Credit Line and Loan Adjustments
Client understands that lenders may adjust or lower credit limits, loan amounts, or take other adverse actions based on the Client’s credit standing or perceived creditworthiness. Such decisions are beyond the control of , and no refunds will be issued for these lender-initiated changes to credit lines or business term loans.
CLIENT COVENANTS. At all times while in contract with , Client agrees to:
be truthful with and Lenders and provide complete and accurate information, to the best of Client's knowledge provide to all documentation, executed applications, notices, correspondence and or other information (collectively, "Account Information") within seven (7) days of the date received by or created by Client in connection with any Account, not apply for and/or establish any new credit Account(s) without the prior written approval of "” for a time period of sixty (60) Days from the Effective Date of this agreement.
COACHING COSTS AND OTHER EXPENSES.
Client agrees to a one-year (1) coaching service to assist in the completion of the business success system that will include completing the items of lender compliance, auditing the business structure and setup, verifying the business credit files, building business credit, and acquiring vendor and lender financing. Client acknowledges that there will be other expenses to complete the business success system, such as paying for third party vendor services, lender or vendor required down payments, and the minimum monthly payments required to build both personal and business credit.
SUSPENSION OR TERMINATION OF BUSINESS SERVICES.
has the right to suspend performance of Services by providing Client with ten (10) days written notice of Client's failure to pay or any other breach of this Agreement. Such suspension shall continue until the event is cured or this Agreement is terminated. Any party may terminate this Agreement effective immediately upon breach of this Agreement by Client. Client may terminate this Agreement only in the event that a material breach of this Agreement remains uncured by for more than thirty (30) days. Client shall not be entitled to any reimbursement, refund, or return of any amounts paid to hereunder as a result of the termination of this Agreement by
SURVIVAL: Notwithstanding any termination of this Agreement, suspension of Services or expiration of the Term, the terms hereof which by their nature are to survive such termination.
INDEMNIFICATION: Client shall indemnify, defend and hold , and subsidiaries and affiliated companies, distributors, and their respective officers, members, managers, employees, agents and other representatives harmless from and against any and all claims, actions, suits, judgments, damages, losses, and expenses (including reasonable attorneys' fees) of whatsoever kind and nature imposed on, incurred by, or asserted against the by any third party, arising out of the Services or any breach by the Client of any covenant or other provision hereof.
CONFIDENTIAL INFORMATION: All terms, including all rights and obligations, of both Client and under any effective Non-Disclosure Agreement, entered into between Client and prior to the Effective Date shall be incorporated herein by reference and made a part hereof.
DISCLAIMERS: Nothing in this Agreement, and nothing in I'm sorry, but there is no text provided for me statements to Client, will be construed as a promise or guarantee about the outcomes of the Services or the success of Client's business with exception to potential billing modifications outlined in Section 3. Additionally, 's Services are not to be construed in any way whatsoever as legal advice or of a legal nature.
SEVERABILITY: Wherever possible, each provision of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law.

17. ENTIRE AGREEMENT: This Agreement contains the full and complete agreement between the parties with respect to the within subject matter, and supersedes all other agreements between the parties whether written or oral relating thereto, and may not be modified except by a written instrument executed by both of the parties.
DISPUTES: This Agreement shall in all respects be subject to the laws of the United States and the State of . If a dispute, controversy or claim arises out of or relates to this Agreement, or the breach thereof, the appropriate venue for dispute resolution will be the Superior Court of Austin, TX.

I have read and understand this agreement. I agree to the fees outlined in Section 3 and I understand that I will be bound by this agreement and will be billed for services rendered accordingly.
