INDEPENDENT CONTRACTOR AGREEMENT

Best Roofing Now LLC, a North Carolina Limited Liability Company, with its principal place of business at 10130 Mallard Creek Road Suite 300, Charlotte, NC 28262
1. ENGAGEMENT OF SERVICES
Company hereby engages Contractor to provide sales and roofing consultation services as an independent contractor. The contractor will utilize the Company's systems, processes, and resources to provide these services.
2. INDEPENDENT CONTRACTOR STATUS
2.1. The contractor understands and agrees that they are an independent contractor and not an employee of the Company. Nothing in this Agreement shall be interpreted as creating an employer-employee relationship, partnership, or joint venture between the parties.
2.2. The contractor is responsible for all income taxes, self-employment taxes, and insurance, including workers' compensation insurance.
3. PROPRIETARY INFORMATION AND CONFIDENTIALITY
3.1. Contractor acknowledges that all systems, processes, methods, software, customer management tools, and business practices of the Company are proprietary and confidential ("Confidential Information").
3.2. Contractor agrees to:
Maintain strict confidentiality of all Confidential Information
Not share, duplicate, or replicate any Company systems or processes
Use Confidential Information solely for providing services to Company
Return all materials containing Confidential Information upon termination
4. CLIENT RELATIONSHIPS
4.1. Contractor acknowledges and agrees that all clients obtained while using Company's systems, processes, uniforms, or resources are Company's clients.
4.2. Contractor shall not:
Contact or solicit Company's clients for 24 months after termination
Use client information for any purpose other than providing services for Company
Remove or copy client information upon termination
5. COMPENSATION
5.1. Contractor will receive commission according to Company's commission schedule. Provided below.
5.2. Full commission payment requires:
Complete documentation of all required forms
Proper photo documentation as specified in Company procedures
Completion of all required work steps and checklists
Compliance with all Company policies and procedures
Sales Consultant Commission and Bonus Structure
I. Base Commission Structure
A. Starting Commission
Base Commission Rate: 10% of total project value (including supplements)
Performance-Based Increases:
First Tier (3 Months):
Requirement: 12+ deals per month for 3 consecutive months
Reward: +2% commission (total 12%) for next quarter
Second Tier (6 Months):
Requirement: Maintain 12+ deals per month for additional 3 months
Reward: +3% commission (total 15%)
Maintenance:
Must maintain 12+ deals monthly to keep 15% rate
One month below 12: No change
Two+ months below 12: Reset to 12%
Once 6-month milestone achieved: Minimum commission locked at 12%
B. Sales Partner Commission
Eligibility: Minimum 1 year of industry experience required
Commission Rate: 50% of Net Profit
Net Profit Calculation: Total Sale - (Materials + Labor + Overhead)
Overhead Rates:
Standard Lead: 12% of total sale
Self-Produced Lead: 10% of total sale
II. Bonus Structures (Full Roof Replacements only)

Monthly Deal Volume Bonuses (Cumulative)

5 deals +$500
10 deals +$1,200
15 deals +$2,000
20 deals +$4,000
B. Benefits Available to All Sales Consultants
Monthly Benefits (12+ Deals Required)
Insurance Credit: $250 (must provide proof of insurance)
Cell Phone Credit: $50 (must submit monthly bill for records)
C. Quarterly Incentives (All Sales Consultants)
Top Performer Vacation Package
Requirements:
Minimum 36 deals in the quarter
Highest overall performance metrics
Reward: Vacation package (destination announced quarterly)
D. Annual Sales Partner Exclusive Benefits
Roofing Conference Package
Qualification (meet either criteria):
140+ deals per year OR
$1,000,000+ in total gross sales
Package Includes:

VIP tickets to conference party event
Complimentary food and beverages
Access to all entertainment and games
Networking opportunities
Professional development sessions
Industry networking events
III. Terms and Conditions
All commissions are paid upon successful completion of required documentation and work verification.
Documentation Requirements:
Complete client paperwork
Required photographs
Inspection reports
Any additional required documentation
Monthly insurance and phone bills (for credits)
Commission Payment Schedule:
Commissions processed upon receipt of payment and completion of all required documentation
Bonus payments processed with the following month's commission
Company reserves the right to modify this structure with advance notice.
IV. Qualification Notes
Deals must be fully executed with all required documentation to count toward volume bonuses.
Monthly totals reset on the first of each month.
Quarterly contest periods:
Q1: January - March
Q2: April - June
Q3: July - September
Q4: October - December
Performance tracking and reporting available through the company dashboard.
6. CONTRACTOR RESPONSIBILITIES
Contractor agrees to:
Maintain professional appearance and conduct
Follow all Company procedures and guidelines
Properly use and maintain Company systems
Complete all required documentation
Attend required training sessions
Maintain required licenses and certifications
Provide own transportation and equipment (unless specified otherwise)
7. TERM AND TERMINATION
7.1. This Agreement begins on the date signed and continues until terminated by either party with written notice.
7.2. Upon termination:
All Company materials must be returned immediately
Access to systems will be terminated
Final commissions will be paid according to completion status
Confidentiality obligations continue for 24 months
