THIS AGREEMENT

This Google Tools Setup Project Agreement (“Agreement”) is made between KaeRae Marketing, Inc and The Client (signer of this agreement). In this agreement, the party who is contracting to receive the services shall be referred to as the “Client” and the party who will be providing the services shall be referred to as the “Service Provider”.

WHAT I PROVIDE:

The Service Provider agrees to create, verify and optimize all of the Google Tools accounts for the Client’s business, which includes:

• Google Analytics

• Google My Business

• Google Search Console

• Google Tag Manager

• YouTube Channel

• Gmail - for client access

• Conversion Tracking set up

PRICING:

These account setups have a one-time cost of $650.00 is to create the Google Analytics, Google Business, Search Console, Tag Manager and YouTube channel accounts

PAYMENT:

During the agreement signing process the initial fee will be paid, which includes the set-up cost of $650.00.

CLIENT OBLIGATIONS:

The Client must provide access to the business website to connect the Google Analytics, Google Search Console, Google Tag Manager, and/or any other website analytics tracking accounts. The Service Provider will give The Client admin access to all of these accounts.

TIMELINE

• The Client will give access to the website to connect tools. Or connection to website developer.

• The new accounts will be created and synced with the website.

• All accounts will be fully optimized

BUSINESS DAYS & HOURS OF OPERATIONS

The Service Provider agrees to be available to schedule an update report meeting with the Client. Service Provider is available to be contacted by the Client via phone or emails any day between Tuesday and Thursday from 9 am to 1 pm EST. The Client will have the ability to schedule a meeting online at www.kaeraemarketing.com/active-clients.

NON-DISCLOSURE

The Service Provider shall not directly or indirectly disclose to any person other than a representative of the Client, at any time either during the term of this Agreement or following the termination or expiration thereof, any confidential or proprietary information pertaining to the Client, including but not limited to customer lists, contacts, password, financial data, sales data, supply sources, business opportunities for new or developing business, plans and models, or trade secrets.

WORK PRODUCT OWNERSHIP

The Client is deemed to be the direct owner of the created content for the campaign, including text ad copy, keyword lists, search term lists, ad extensions, geographic and mobile breakdowns, plus all past report data. Any works copyrighted, ideas, discoveries, inventions, patents, products, or other information (collectively, the “Work Product”) developed in whole or in part in connection with the Services shall be the exclusive property of the Client. Upon request, Service Provider shall sign all documents necessary to confirm or perfect the exclusive ownership of the Client to the Work Product.

LIABILITY WAIVER

The Service Provider shall not be liable for the loss, damage, or delay of the Client’s project due to circumstances beyond the Service Provider’s control. Such circumstances may include (but are not limited to) acts of God, public unrest, power outages, and inability to contact the Client. In the event of any such loss, damage, or delay, the Service Provider will make every effort to notify the Client immediately.

I agree to this agreement is a project-based commitment once the accounts are created, synced with the website and access shared with client the agreement is automatically terminated.

• The account setup fee is $650.00 for all the Google tools (GA4, GMB, SC, GTM, YT)
