All confidential information disclosed to the Prospective Buyer (including to its agents, legal and other advisors) must not be disclosed to any other party before, during, or after the Prospective Buyer enters into a contract. All business records — financial, intellectual, or otherwise — are confidential and must remain so. This deed does not prevent disclosure required by law, and does not apply to information already in the public domain.

The Prospective Buyer acknowledges that information supplied by Launch Asset Brokers:

• Is provided by and on behalf of the Business Owner.

• Is not guaranteed by Launch Asset Brokers, and it is the Prospective Buyer's responsibility, at its own expense, to verify such information.

• Is not investment or financial advice.

Launch Asset Brokers supplies requested material as agent only, and bears no responsibility for its accuracy or any errors it contains. The Prospective Buyer will not hold Launch Asset Brokers liable for any loss or damage arising from reliance on such information.

The Prospective Buyer agrees not to approach the landlord, property managing agent, any staff member, or the Business Owner, directly or indirectly. Any visit to the venue as a customer must be made with absolute discretion. The Prospective Buyer also agrees not to discuss the sale of the Business with anyone without first disclosing that person's contact details to Launch Asset Brokers.

If no contract is entered into, all information and material provided under this deed will be returned, destroyed, or otherwise dealt with in accordance with the Business Owner's instructions. All contact with the Business Owner must be arranged through Launch Asset Brokers.

The Prospective Buyer accepts that their contact information may be shared with the seller of any business they have enquired about. Launch Asset Brokers will not share the Prospective Buyer's contact information with anyone outside the firm, other than the Business Owner as described above.

By agreeing to this Confidentiality Agreement, the Prospective Buyer also consents to receive marketing communications from Launch Asset Brokers about similar business opportunities. This consent is voluntary, and the Prospective Buyer may opt out at any time via the unsubscribe link included in each marketing email.
