This Referral Program Agreement ("Agreement") is made and entered into as of the date signed below by and between Sierra Social Marketing, LLC ("Company") and the individual or entity agreeing to refer potential clients to the Company ("Referrer"). The parties agree as follows:

1. Referral Fee Structure

The Company agrees to pay the Referrer a referral fee of 10% of the total amount the referred client ("Referral") spends with the Company. This fee will be paid on a recurring basis for as long as the Referral continues to make payments to the Company for services.

2. Payment Terms

• Referral fees will be paid monthly, on the first of every month, based on payments received from the Referral in the previous month.

• No minimum threshold applies for referral payments.

Payments will be made via Zelle, and the Referrer is responsible for providing accurate payment details.

• The referral fee will be based on the gross amount paid by the Referral, excluding any discounts, refunds, or taxes.

3. Eligible Referrals

• To qualify for a referral fee, the Referrer must introduce the Referral to the Company through a warm introduction, including but not limited to an email, text message, or in-person connection.

• The Referral must not be an existing client of the Company or someone with whom the Company is already in communication.

• The Company reserves the right to verify eligibility and will inform the Referrer if the potential client does not qualify as a Referral under this Agreement.

4. Duration of Referral Fees

• The referral fee will be paid for the entire duration of the Referral's active engagement with the Company and as long as the Referral continues making payments.

• If the Referral ceases to make payments or terminates their contract with the Company, no further referral fees will be paid.

• The Company will not require the Referrer to return referral commissions in the event of refunds issued to the Referral.

5. Confidentiality

The Referrer agrees to keep all information regarding referrals, payment terms, and any related business matters confidential. The Referrer may not disclose any details of this Agreement or client information to third parties without prior written consent from the Company.

6. Independent Contractor Relationship

The Referrer acts as an independent contractor and is not an employee, agent, or partner of the Company. The Referrer has no authority to enter into any contracts or make any commitments on behalf of the Company.

7. Termination

Either party may terminate this Agreement by providing written notice of at least 30 days. Upon termination, the Referrer will no longer be entitled to referral fees, unless payments have been made by the Referral before the termination date.

8. Dispute Resolution

Any disputes arising out of or related to this Agreement will be resolved through good faith negotiations. If no resolution is reached, the matter will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association or another mutually agreed-upon arbitration body, with the arbitrator’s decision being final.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

10. Amendments

This Agreement may only be modified or amended by a written document signed by both parties.

11. Entire Agreement

This Agreement constitutes the full understanding between the parties and supersedes all prior agreements, communications, and understandings regarding the referral program.
