In this Agreement, Strategic 1500 and Company may be referred to individually as a “Party” and collectively as the “Parties.”

RECITALS

A. The Parties will engage in discussions, negotiations, and other activities related to commercial real estate ventures, hotels and hotel development, resort properties, and/or other business (the “Purpose”) for which it may be necessary for Strategic 1500 or its Affiliates to disclose Confidential Information to Company.

B. In relation to the Purpose, Company and its Affiliates may also disclose Confidential Information to Strategic 1500.

C. The disclosure of Confidential Information from one Party to the other Party will be made pursuant to the terms and conditions in this Agreement.

The Parties now agree as follows.
