LEAD GENERATION AGREEMENT:

BeneTech LLC (NexaEnroll) – Lead Generation & Compliance Agreement This Agreement sets forth the terms under which BeneTech LLC, the parent company of NexaEnroll, together with its affiliates LeadStrive LLC and Pumpkindeal LLC, provides digital lead generation and compliance-based Medicare enrollment solutions. BeneTech LLC operates by CMS compliance standards, but responsibility for marketing, enrollment, and plan selection rests with the Client/Agent. 1. Service Description BeneTech LLC (NexaEnroll) generates and distributes Ready-to-Enroll Medicare leads. These leads are designed to be compliance-first, including SOA, AOR, TCPA, and TPMO consents. Pumpkindeal LLC and LeadStrive LLC may process invoicing and payments. 2. Non-Disclosure Clients shall not disclose proprietary information related to BeneTech LLC, NexaEnroll, LeadStrive LLC, or Pumpkindeal LLC methodologies, strategies, APIs, or technologies. 3. Lead Quality and Condition All leads are provided 'as is' with no guarantees of conversion, completeness, or accuracy. Clients accept all inherent risks associated with the use of leads. 4. Invoicing, Payments, and Financial Terms Invoices are processed through Stripe or equivalent platforms. Taxes are applied where required. All sales are final. No refunds, chargebacks, or credits will be issued once leads are delivered. 5. Liability and Risk Allocation BeneTech LLC and its affiliates are not liable for damages, penalties, or claims resulting from the Client’s use of leads, including but not limited to carrier disputes, consumer lawsuits, or CMS penalties. 6. Data Management and Security Clients are responsible for all data post-delivery, including HIPAA compliance. BeneTech LLC ensures encryption, audit logs, IP/timestamp tracking, and secure storage prior to delivery. 7. Regulatory Compliance Leads and processes are designed to meet CMS standards (HIPAA, SOA, AOR, TCPA, TPMO). Clients remain solely responsible for compliance in their sales and enrollment practices. 8. Advertising and Marketing BeneTech LLC uses varied marketing techniques to generate leads. Responsibility for plan recommendations, advice, and enrollment outcomes lies solely with the Client. 9. Transparency Each lead is audit-ready, including IP address, timestamp, and signature data. Clients are provided transparent records for compliance review. 10. Force Majeure The Company shall not be liable for delays due to events outside its control, including natural disasters, governmental regulations, or technological failures. 11. Dispute Resolution All disputes shall be resolved through binding arbitration under the American Arbitration Association, with venue in Delaware. 12. Non-Compete, Exclusivity & Non-Copy For two (2) years following termination of this Agreement, the Client shall not purchase or source Ready-to-Enroll Medicare leads or materially similar products from any vendor other than BeneTech LLC, NexaEnroll, LeadStrive LLC, or Pumpkindeal LLC. The Client also agrees not to duplicate, replicate, reverse engineer, or copy any of the Company’s proprietary processes, including but not limited to: • Lead generation methodologies • Advertising and marketing strategies • Survey flows, question structures, and logic engines • API integrations (including MBI, provider, and eligibility lookups) • Compliance workflows (SOA, AOR, TCPA, TPMO) • Dashboards, interfaces, and technology designs Any breach will cause irreparable harm, and the Company reserves the right to seek injunctive relief and damages. 13. Intellectual Property All technology, APIs, workflows, survey structures, data handling systems, and logic engines are the exclusive property of BeneTech LLC. Unauthorized use or derivative development is strictly prohibited. 14. Enhanced Consent Protocols All leads provided include explicit consumer consent, digitally signed, with IP and timestamp verification. Clients must obtain and store additional consents for subsequent plan enrollment or data use. 15. Audit and Reporting Clients must maintain audit records of their sales activity. BeneTech LLC reserves the right to audit data usage to ensure compliance. 16. Indemnification Clients agree to indemnify and hold harmless BeneTech LLC, LeadStrive LLC, and Pumpkindeal LLC from all liabilities, claims, penalties, or damages arising from misuse, non-compliance, or fraudulent activity. 17. Fraud Prevention Fraudulent activities, including submission of false leads or manipulation of survey logic, are prohibited. Violations will result in termination and legal action. 18. CRM & API Platform Data Security Clients are responsible for account security when accessing CRM systems or APIs. The Company is not liable for breaches due to client mismanagement. 19. Liability for Identity Theft and Insurance Fraud Any incidents related to fraud, identity theft, or insurance misuse post-delivery are the sole responsibility of the Client. 20. Conversion Disclaimer BeneTech LLC does not guarantee conversion rates. Success depends on the Client’s practices and performance. 21. Proprietary Information All advertising, survey, and process structures are proprietary business secrets of BeneTech LLC. Disclosure or replication is prohibited. 22. Governing Law This Agreement is governed by Delaware law. Venue shall be state or federal courts in Delaware. 23. Entire Agreement This document, together with any previous executed agreements, constitutes the full understanding between the Client and BeneTech LLC and its affiliates. 24. Signature By signing this Agreement, the Client acknowledges all terms, including exclusivity, non-compete, intellectual property protection, CMS compliance standards, and the no-refund policy. *

Non-Refund & No Chargeback Agreement This Agreement (“Agreement”) is entered into by the undersigned Agent (“Agent”) and BeneTech LLC, including its affiliates Pumpkindeal LLC and LeadStrive LLC (collectively, “Company”), effective as of the date of Agent’s signature below. 1. No Refunds / No Chargebacks All payments for lead generation services are final. The Agent agrees not to request or initiate refunds, reversals, or chargebacks for any reason. 2. Nature of Leads The Company uses proprietary methods to generate exclusive leads. Because consumers may re-opt into other offers online, the Company cannot guarantee exclusivity or conversion outcomes. 3. No Liability for Conversion or Use The Company makes no guarantees about lead performance. The Agent accepts full responsibility for outcomes, including compliance with CMS, HIPAA, and all applicable laws. The Company shall not be liable for damages, losses, or legal claims arising from use of leads. 4. Intellectual Property All systems, processes, methods, survey logic, APIs, and materials are the exclusive property of the Company. The Agent may not copy, replicate, or use these outside the scope of this Agreement. 5. Business Relationship This Agreement is a condition of doing business with the Company. Continued transactions signify acceptance of these terms. 6. Governing Law This Agreement shall be governed by and construed under the laws of the State of Delaware, USA. 7. Entire Agreement This Agreement, together with any prior signed agreements, constitutes the full understanding between the Company and the Agent regarding payments, refunds, and chargebacks. *

Non-Compete and Non-Copy Agreement

This Non-Compete and Non-Copy Agreement (“Agreement”) is entered into by the undersigned Client (“Client”) and BeneTech LLC (parent company of NexaEnroll), including its affiliates LeadStrive LLC and Pumpkindeal LLC (collectively, “Company”), effective as of the date of signature below. 1. Non-Compete The Client agrees that for a period of two (2) years following termination of their relationship with the Company, they shall not directly or indirectly: Purchase, source, or develop Ready-to-Enroll Medicare leads or materially similar products from any vendor other than BeneTech LLC, NexaEnroll, LeadStrive LLC, or Pumpkindeal LLC. Operate or participate in any business that competes with the Company’s lead generation, compliance, or digital enrollment services. 2. Non-Copy The Client agrees not to duplicate, replicate, reverse engineer, or otherwise copy any part of the Company’s proprietary processes, including but not limited to: Lead generation methodologies and marketing strategies Survey structures, flows, and compliance logic API integrations (including MBI, provider, medication, and eligibility lookups) Compliance workflows (SOA, AOR, TCPA, TPMO) User interface designs, dashboards, and data systems Any proprietary software, AI-driven processes, or enrollment infrastructure developed by the Company 3. Proprietary Information The Client acknowledges that all information provided by the Company — including leads, methodologies, surveys, workflows, APIs, and compliance systems — is proprietary and confidential. The Client shall maintain confidentiality and not disclose such information to third parties without prior written consent. 4. Legal Actions The Client agrees that any breach of this Agreement will cause irreparable harm to the Company. The Company (including BeneTech LLC, LeadStrive LLC, and Pumpkindeal LLC) reserves the right to pursue all remedies, including injunctive relief and monetary damages, in the event of a violation. 5. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA. 6. Entire Agreement This Agreement constitutes the full understanding between the parties regarding non-compete and non-copy obligations, and supersedes any prior agreements. 7. Acknowledgment and Acceptance By signing below, the Client acknowledges and agrees to all terms and conditions of this Agreement. *

Digital Routing, Portal Risk, and Liability Disclosure

Master Definition: For the purposes of this section, "The Company" refers to the specific corporate entity operating this website, alongside all of its parent companies, subsidiaries, affiliates, doing-business-as (DBA) platforms, brand names, and technology partners. 1. Authorization of Digital Routing: By utilizing the Services, Client explicitly authorizes The Company to digitally route verified consumer session data, intake forms, and consent logs through the Client’s designated marketing URLs, third-party portal environments, and National Producer Number (NPN). Client acknowledges that this routing is conducted via The Company’s proprietary technology infrastructure and explicitly consents to this routing regardless of the specific digital methodologies employed by The Company or its affiliates. 2. Quoting API vs. Enrollment Affiliation: The Company acts strictly as an independent Marketing Technology (MarTech) provider. While we may utilize public data feeds (such as the official CMS API) strictly for informational quoting and real-time plan-matching purposes, The Company and its affiliates are not affiliated with, endorsed by, or integrated via official backend API for the submission, processing, or enrollment of applications with the Centers for Medicare & Medicaid Services (CMS), the Federally-Facilitated Marketplace (FFM), HealthSherpa, or any specific insurance carrier. 3. Assumption of Portal Risk and Anti-Automation Compliance: Client acknowledges that third-party enrollment portals (explicitly including HealthSherpa and CMS) maintain their own independent Terms of Service, security protocols, and strict policies regarding data entry, digital routing, and anti-automation. Client assumes 100% of the legal, operational, and financial risk for ensuring that their use of The Company’s routing technology complies with their individual agreements with these platforms. The Company makes no representations regarding the compatibility of its technology with third-party anti-bot or security terms. Client accepts that using automated digital routing carries the inherent risk of portal account flags, and proceeds strictly at their own risk. 4. The Absolute NPN and Commission Shield: Under no circumstances shall The Company, its affiliates, its owners, or its technology partners be held liable for any investigation, suspension, restriction, lockout, or termination of the Client’s National Producer Number (NPN), HealthSherpa accounts, third-party portal access, or carrier appointments. If a third-party platform (e.g., HealthSherpa or CMS) restricts or terminates the Client's access for any reason—including suspected automated activity or routing protocol violations—Client explicitly holds The Company 100% harmless. Client unconditionally waives all rights to claim damages against The Company for any loss of revenue, withheld commissions, lost books of business, carrier chargebacks, or regulatory fines. 5. Verification and Consent: While The Company may provide digital verification tools (e.g., biometric face scans, IP logging, timestamped authorizations), Client is solely responsible for verifying that such documentation satisfies CMS and carrier requirements for consumer consent prior to any application processing. The Company does not guarantee that third-party auditors or carriers will accept any specific format of documented consent. 6. Premium, Subsidy, and Plan ID Variances: Client acknowledges that all premium quotes, Advanced Premium Tax Credit (APTC) subsidy calculations, gross/net premiums, and specific Plan IDs displayed within The Company’s environment are preliminary estimates provided for informational purposes only. Because third-party portals (such as HealthSherpa and CMS) utilize their own proprietary calculation logic, UI-specific variables, and dynamic data feeds, the final quoted premium, subsidy amount, or plan availability may differ at the actual time of portal enrollment. The Company makes no guarantees regarding the exact matching of our preliminary quoting data to final third-party portal outcomes and assumes zero liability for any pricing discrepancies, mismatched Plan IDs, altered subsidy amounts, or resulting consumer/carrier disputes. *

Payment Authorization, Compliance Deposit, and Fraud Penalties Consent

Entities Covered: BeneTech LLC, Pumpkindeal LLC, and LeadStrive LLC. Payment Authorization, Compliance Deposit & Fraud Penalties By utilizing the services of Nexa Enroll (with payment processing and accounting managed by Pumpkindeal LLC and LeadStrive LLC), the Client agrees to the following strict billing, deposit, and penalty terms: $1,000 Compliance & Escrow Deposit: To protect the integrity of our digital platforms, the Client agrees to a one-time $1,000.00 Compliance & Escrow Deposit upon onboarding. If the Client maintains their account in good standing and does not breach this agreement or initiate invalid disputes, this deposit will be fully credited toward future lead purchases. If the Client breaches this agreement or files an invalid chargeback, this deposit is immediately forfeited to the Company to cover initial legal defense and arbitration filing costs. Card on File Authorization: The Client authorizes the Company to securely store all submitted payment methods on file for the duration of the agreement to process authorized lead purchases and applicable administrative fees. Automatic $250 Dispute Fee: All sales of digital leads are strictly final and non-refundable once delivered. If the Client attempts to bypass this policy by initiating a bank dispute or chargeback, the Client explicitly authorizes the Company to automatically charge any payment method on file for a non-refundable $250.00 Administrative Dispute Fee per transaction. Enforcement of 3x (Treble) Damages: The Client acknowledges that retaining delivered digital leads while disputing the associated payment constitutes civil theft and intentional fraud. In the event of such fraud, the Company and its legal counsel explicitly reserve the right to pursue treble (3x) damages against the Client—equaling three times the disputed invoice amount—plus all attorney's fees and costs of collection, to the maximum extent permitted by law during binding arbitration in Delaware. *
