AGREEMENT TERMS

This TaxPrepBoss Software Purchase & Use Agreement (the "Agreement") is entered into between TaxPrepBoss Software ("Provider") and the purchaser ("Purchaser"). By signing, Purchaser confirms that the information on Page 1 is accurate and agrees to the following terms.

1. SOFTWARE SERVICES

Provider will make available the tax preparation software package selected , subject to vendor availability, activation requirements, these terms, and any applicable third-party vendor or bank-product terms. Features may vary by software platform, package, tax year, bank partner, and enrollment status. Provider may use third-party vendors to deliver software, e-filing, bank products, identity protection, audit assistance, document preparation, communications, training, or technical support.

2. SOFTWARE ONLY - NO TAX PREPARATION OR REPRESENTATION

Provider supplies software access, onboarding, and related support. Provider is not retained to prepare, review, supervise, sign, transmit, or guarantee any tax return prepared by Purchaser or Purchaser's staff. Provider does not provide legal advice and does not represent Purchaser or Purchaser's clients before the IRS or any state or local taxing authority unless the parties sign a separate written engagement expressly stating otherwise.

3. PURCHASER ELIGIBILITY AND COMPLIANCE

Purchaser is solely responsible for maintaining every credential, registration, authorization, license, bond, insurance policy, and approval required for Purchaser's operations, including a valid PTIN and, when applicable, an active EFIN. Purchaser must comply with all federal, state, and local laws; IRS e-file rules and publications; due-diligence requirements; data-security obligations; bank-product rules; and software-vendor policies. Purchaser must promptly notify Provider of any suspension, revocation, investigation, breach, credential change, or event that may affect eligibility to use the software.

4. INDEPENDENT BUSINESS RELATIONSHIP

Purchaser operates an independent business and is not Provider's employee, partner, franchisee, joint venturer, or legal representative. Purchaser controls its own business name, hours, staffing, client acceptance, return preparation, pricing, marketing, tax obligations, and operating expenses. Nothing in this Agreement authorizes Purchaser to bind Provider or make promises on Provider's behalf.

5. FEES RETAINED BY PURCHASER

Purchaser generally retains the tax preparation fees Purchaser charges clients, less any authorized software fees, service-bureau or transmitter fees, bank-product fees, state bank fees, technology fees, add-on fees, chargebacks, collection costs, prior balances, promotional or zero-down deductions, and other amounts disclosed in this Agreement or an incorporated order form or fee schedule. Provider does not guarantee any specific revenue, client volume, refund amount, funding result, or profitability.

6. PRICE, PAYMENT, AND AUTHORIZATION

Purchaser must pay the amounts and follow the payment terms shown on Page 1 and any signed order form, invoice, authorization, or fee schedule. Purchaser authorizes Provider and its payment processors, software vendors, and bank-product partners to collect or deduct amounts when permitted by the selected arrangement. Failure of a third party, bank product, refund transfer, or client payment to generate sufficient funds does not cancel Purchaser's payment obligation. Purchaser remains responsible for every unpaid balance.

7. NON-REFUNDABLE PAYMENTS AND CANCELLATION

Except where non-waivable law requires otherwise, all setup fees, license fees, deposits, installment payments, promotional payments, activation fees, and other amounts paid to Provider are non-refundable once paid or once Provider has begun onboarding, enrollment, account setup, credential submission, license allocation, training access, or vendor processing, whichever occurs first. Purchaser's decision not to use the software, inability to obtain or maintain an EFIN or other credential, failure to complete onboarding, lack of clients, change in business plans, or termination for Purchaser's breach does not create a right to a refund, credit, or cancellation of an outstanding balance.

8. CHARGEBACKS AND PAYMENT DISPUTES

Purchaser agrees to contact Provider in writing and allow a reasonable opportunity to address a billing concern before initiating a chargeback or payment dispute. A chargeback does not cancel Purchaser's contractual obligation. If Purchaser initiates an improper, false, or unsuccessful chargeback, Purchaser remains liable for the disputed amount plus reasonable chargeback fees, collection costs, and other amounts permitted by law. Provider may suspend access while a payment dispute or delinquent balance is pending. Nothing in this section limits any non-waivable consumer right or card-network protection.

9. SOFTWARE, BANK-PRODUCT, AND ADD-ON FEES

Transaction-based charges may apply separately from the package purchase price. Depending on the platform and services selected, charges may include service-bureau, transmitter, federal or state bank-product, technology, document-preparation, e-file, audit-assistance, identity-protection, protection-plan, processing, collection, and optional add-on fees. Current amounts may be stated in a signed fee schedule, order form, vendor enrollment, or software display and may change by tax year or third-party provider. Purchaser is responsible for reviewing and accepting the applicable fee schedule before transmitting returns or offering bank products.

10. BANK PRODUCTS AND CLIENT DISCLOSURES

If Purchaser elects to offer refund-transfer or other bank products, Purchaser must complete required enrollment and approval and provide all client disclosures, consents, fee explanations, and authorizations required by the bank, software vendor, and law. Approval is determined by the applicable third party and is not guaranteed by Provider. Purchaser may not misrepresent refund timing, loan approval, advance amounts, fees, or eligibility.

11. ACCOUNT SECURITY AND AUTHORIZED USERS

Purchaser is responsible for every user, preparer, device, password, multifactor-authentication method, and transmission associated with Purchaser's account. Credentials may not be shared outside Purchaser's authorized office personnel. Purchaser must use reasonable safeguards, restrict access by role, immediately disable departed users, maintain secure devices and networks, and promptly report suspected unauthorized access or a data incident. Purchaser is liable for activity performed through its account unless prohibited by law.

12. NO TRANSFER, RESALE, OR UNAUTHORIZED ACCESS

The software license and account access are limited, revocable, non-exclusive, and non-transferable. Purchaser may not sell, sublicense, rent, assign, copy, reverse engineer, commercially share, or provide access to another business or location without Provider's prior written approval. Purchaser may not use Provider's name, marks, pricing, relationships, or materials to imply ownership, agency, endorsement, or reseller status

13. SUPPORT AND TRAINING

Provider may offer onboarding, general platform guidance, training resources, office hours, community access, or assistance coordinating with third-party support. Support availability, response times, and delivery channels may vary during peak filing periods and are not guaranteed unless stated in a separate service-level agreement. Purchaser remains responsible for tax-law knowledge, return accuracy, due diligence, business operations, and timely filing. Support does not transfer Purchaser's professional responsibility to Provider.

14. DATA, PRIVACY, AND SECURITY

Purchaser is the responsible tax professional and business owner for client information entered into the software. Purchaser must obtain lawful authority to collect, use, disclose, store, and transmit taxpayer data; comply with applicable privacy and safeguard rules; maintain a written information security plan where required; and follow all breach-response duties. Data may be processed by Provider's software vendors, hosting providers, banks, payment processors, and support partners as necessary to deliver services. Purchaser must review and comply with applicable vendor privacy and security terms.

15. PROHIBITED CONDUCT

Purchaser may not use the software for fraud, identity theft, fabricated income or withholding, false credits or deductions, unauthorized return filing, deceptive bank-product practices, credential misuse, illegal fee arrangements, harassment, system interference, or any activity that violates law or vendor policy. Purchaser may not alter audit logs, conceal preparer identities, bypass security controls, or permit an unapproved person to transmit returns under Purchaser's credentials.

16. SUSPENSION AND TERMINATION

Provider may suspend or terminate access immediately for suspected fraud, security risk, unlawful conduct, credential problems, vendor or bank direction, nonpayment, chargeback, abuse, unauthorized sharing or resale, material breach, or conduct that may harm taxpayers, Provider, or a third party. Purchaser may request cancellation in writing, but cancellation does not erase non-refundable payments, incurred fees, deductions, chargebacks, or outstanding balances. Upon termination, Purchaser must stop using Provider-controlled access and materials. Data export or retention is subject to vendor capabilities, law, and applicable third-party terms.

17. THIRD-PARTY SERVICES AND AVAILABILITY

Software, e-filing, banking, telecommunications, identity verification, payment processing, and hosting may be provided by independent third parties. Provider does not control IRS or state systems, financial institutions, software-vendor outages, internet service, funding decisions, processing delays, security reviews, law changes, or force-majeure events. Provider may replace or modify a platform, vendor, feature, or delivery method when reasonably necessary, while seeking to provide substantially similar core access when practical.

18. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, services are provided "as is" and "as available." Provider disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Provider does not warrant uninterrupted or error-free operation, acceptance of any return, accuracy of third-party calculations or content, bank-product approval, refund timing, regulatory compliance by Purchaser, or any particular business result. Purchaser must independently review all return information and output before filing.

19. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Provider will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost clients; lost data; delayed refunds; rejected returns; penalties; interest; identity-theft losses; bank-product decisions; or business interruption arising from this Agreement or the services. Provider's aggregate liability for a claim will not exceed the amount Purchaser actually paid directly to Provider under this Agreement during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law.

20. INDEMNIFICATION

To the fullest extent permitted by law, Purchaser will defend, indemnify, and hold harmless Provider and its owners, personnel, and affiliates from third-party claims, liabilities, penalties, losses, costs, and reasonable attorney fees arising from Purchaser's returns, advice, clients, employees or contractors, fees, marketing, credential use, data practices, security failures, legal violations, fraud, negligence, or breach of this Agreement, except to the extent caused by Provider's willful misconduct or as otherwise prohibited by law.

21. CONFIDENTIALITY AND INTELLECTUAL PROPERTY

Each party will protect nonpublic business, technical, pricing, taxpayer, credential, and security information received from the other and use it only for the relationship contemplated here, except as disclosure is required by law or necessary to service providers bound by appropriate duties. Provider and its licensors retain all rights in the software, branding, training, templates, documentation, workflows, and other materials. No ownership rights transfer to Purchaser.

22. NOTICES

Purchaser must keep contact information current. Operational, billing, compliance, and legal notices may be sent to the email address or business address on Page 1. Purchaser may send notices to the Provider contact information shown on an invoice, order form, or official Provider communication. Electronic notices are effective when sent unless the sender receives a delivery failure; mailed notices are effective upon documented delivery.

23. GOVERNING LAW AND VENUE

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Unless non-waivable law requires otherwise, the parties consent to exclusive jurisdiction and venue in the state or federal courts serving the Virginia locality where Provider maintains its principal business office. Before filing suit, the parties will make a good-faith effort to resolve the dispute through written notice and informal discussion.

24. GENERAL TERMS

This Agreement, , and any signed order form, payment authorization, vendor enrollment, or fee schedule expressly incorporated by reference form the entire agreement concerning the purchase and use of the software and replace prior discussions on that subject. Any amendment must be in writing and accepted by both parties, except Provider may update operational, security, vendor, or legally required terms with reasonable notice. Purchaser may not assign this Agreement without Provider's written consent. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A waiver on one occasion is not a continuing waiver. Electronic signatures and counterparts are valid and enforceable
