1. Purpose of Agreement
This Agreement establishes the general terms under which The Maker will provide creative, strategic, and professional services to the Client. A detailed Scope of Work (“SOW”) may be added as an attachment for specific projects, but is not required for this Agreement to be valid.
2. Services
The Maker will provide services as mutually agreed in writing.
In the absence of a separate SOW, services will be defined and approved through written communication (email approval is sufficient).
3. Compensation
Client agrees to compensate The Maker as follows:
Rate or Project Fee:
Payment Schedule: 50% upfront / 50% upon delivery OR other agreed structure
Payment Due: 14 days from invoice date
Late payments may delay work or incur additional fees.
4. Revisions
Unless otherwise specified:
Client receives two revision rounds per major deliverable.
Additional revisions will be billed at $150/hour or flat fee.
5. Client Responsibilities
Client agrees to:
Provide all necessary information, assets, and access required to complete the work
Deliver feedback within 3 business days
Attend scheduled calls or meetings
Approve deliverables in a timely manner
Pay invoices on time
Delays in feedback or asset delivery may extend the project timeline.
6. Intellectual Property Rights
Upon full payment:
Client receives ownership of final approved deliverables.
The Maker retains ownership of all working files, drafts, internal tools, and proprietary frameworks unless otherwise stated in writing.
The Maker reserves the right to showcase completed work in portfolios or marketing materials unless Client requests confidentiality in writing.
7. Term & Termination
Either party may terminate this Agreement with 30 days’ written notice.
If terminated:
Client must pay for all work completed up to the termination date.
No refunds will be issued for completed work or time invested.
8. Confidentiality
Both Parties agree to keep all confidential information, proprietary materials, and business data private and not disclose such information to third parties.
9. Liability
The Maker is not liable for indirect, incidental, or consequential damages. Liability is limited to the amount Client has paid under this Agreement.
10. Entire Agreement
This Agreement represents the complete understanding between The Maker and the Client. Any changes must be made in writing and signed by both Parties.
Additional project details may be added as an attached Scope of Work if needed.
