Event Space Rental Agreement

This agreement defines the terms and conditions under which Nydan Investments LLC. dba The Biz Lounge (hereinafter referred to as TBL), and RENTER agree to the Renter's use of the event space.

This contract constitutes the entire agreement between the parties and becomes binding upon the signature of both parties. This contract may not be amended or changed unless executed in writing and signed by TBL representative and the Renter.

RESERVATION

The event space/room described above has been reserved for you for the date and time stipulated. Please ensure you book enough time to allot for setup and cleanup.

ROOM CAPACITY

Maximum capacity of the room is 99 people (standing only). Use of tables and chairs may change this capacity therefore a room layout is required 15 days prior to the event date to ensure building code compliance.

PRICING MAY VARY

Prices for additional production equipment and services other than venue rental may vary depending on specific requirements. 

PREFERRED VENDORS

While The BIZ Lounge only provides the space, additonal vendor services (tables, chairs, decorations, DJ, catering, videography, photography, etc.) can be obtained from our preferred list of vendors that will make setup a breeze, ensuring high quality services and seamless coordination.

EVENT DAY SERVICES

The BIZ Lounge will provide use of the venue, cafe, restrooms and parking lot on the designated Event date. The onsite Business Manager will provide oversight of the venue facilities for the Event, but will not perform the services of a planner, coordinator, or laborer.

BUILDING ACCESS FOR EVENT

Normal business access hours are Monday - Friday 9am - 6pm, Saturday 10am - 4pm & Sunday Closed for special events. Event hours extend to Midnight each night based on event booking approved. The BiZ Lounge is completely locked and access by anyone other than an employee is restricted after hours.

VIDEO SURVEILLANCE

Video surveillance equipment is used on premises 24 hours to ensure that employees, customers, and company-owned assets are kept secure from theft, vandalism, and other forms of misconduct. Should unlawful activity be discovered, the recordings captured by video surveillance equipment will be used to the fullest extent of the law—including the possibility of disclosure to authorized third parties. Video surveillance equipment will not be used in areas where employees and customers have a reasonable expectation of privacy, such as bathrooms, changing rooms, and other private areas. Where video surveillance equipment is used the equipment will be made clearly visible and there will be notices indicating the presence of the equipment.

ACKNOWLEDGEMENT

Renter will adhere to and follow the terms of this Agreement, and will be responsible for any damage to the premises and site, including the behavior of its' guests, invitees, agents or vendors resulting from the use of venue/space.

SECURITY DEPOSIT

A 50% payment (of total event cost) is required upon execution of this agreement to reserve your date. This payment is non-refundable, in the event you cancel the event without approval by The BiZ Lounge. Payment of the remaining balance is due no later than fifteen (15) days prior to the Event Date and/or may be made in incremental payments if approved by company representative.

A credit card will be held on file for damages incurred and charged one day following the event date after inspection by company and a determination of the following:

1)     The building and surrounding property, including landscaping, must have no damage and be left in the exact condition as prior to CLIENTS’ Event.

2)     No paint, stains or glue may be used on any part of the Buildings or landscaping. No puncturing of walls, furniture or any other décor.

3)     The Property must be entirely cleaned of personal belongings/decorations by the end of the Rental Period on the evening of the Event including:

4)     Removal of all trash, including but not limited to cans, bottles, food items, cigarette butts, decorations and placed in the designated trash receptacles.

5)     Cleaning of all trash, décor and other items from rental space, restrooms, grassy areas, parking lot, and/or public road to the highway.

6)     Costs for repair and or replacement for any damages occurring to the Venue and or any facilities located on the grounds during RENTER'S Event (including but not limited to the items listed directly above), shall be deducted from the Security Deposit.

7)     Should additional cleaning be required in additional to standard cleaning of the facility, additional cleaning fees at the rate of One Hundred Dollars ($100.00) per hour shall be deducted from CLIENTS Security Deposit.

8)     In the event that the Facility or any furnishings or landscaping are damaged in an amount in excess of the Security Deposit, The Biz Lounge shall prepare an itemized list of damages and repair costs and payment shall be due immediately from RENTER.

CANCELLATION POLICY

In the unlikely event the RENTER should cancel, the 50% payment shall be forfeited. The BIZ Lounge shall have the right to terminate this contract if the RENTER fails to meet or violates any terms of this contract in which case the provisions of this cancellation policy also apply.

The RENTER shall not assign or sub-lease any terms, conditions or services contained in this contract or any interest therein without the written consent of The BIZ Lounge.

In this instance, The BIZ Lounge will reschedule your event according to the current availability at no extra cost, provided that a 15-day notice is provided.

TERMS AND CONDITIONS

CONDITIONS OF USE

Renter’s activities during the Rental Period must be compatible with use of the building/grounds and activities in areas adjacent to the Rental Space and building. This includes but is not limited to playing loud music or making any noise at a level that is not reasonable under the circumstances. Smoking is not permitted anywhere in the buildings. The Rental Space must be cleaned and returned in a condition at the end of an event to a reasonable appearance as it was prior to the rental. Renter is responsible for the removal of all decorations and trash from the property, or placed in a dumpster provided on site.

Absolutely NO SMOKING OR VAPOR PRODUCTS inside OR around the Facilities.

Glass Bottles and other containers are allowed only on a case by case basis. Unless otherwise noted, no glass bottles or containers are allowed – Only wine bottles and canned drinks or plastic bottles will be allowed inside the facility without the permission of The BIZ Lounge. This does not include the serving glassware provided by Caterers.

There shall be NO FIREARMS allowed in the buidling at any time.

The following items are prohibited: confetti, rice, Japanese lanterns, decals and stickers, silly string, glue, nails, screws or any similar item that may cause harm to animals and people, landscaping, vehicles or the Facility.

Use of Performance and Copyright Policy. The BIZ Lounge may take or use any pictures, photographs, and/or moving images taken during the setup, take-down or the actual Event. These images will remain the property of TBL and may be used for advertising purposes by TBL.

HIGHLY RECOMMENDED: Event Insurance. RENTERS are responsible for purchasing a Day of Event Insurance Policy naming The BIZ Lounge as an additional insured, with a minimum policy limit of One Million Dollars ($1,000,000.00). RENTERS shall provide TBL with a certificate of insurance no later than fifteen (15) days prior to the Event Date.

Renter acknowledges that some of its events may require the use of live or recorded music protected by U.S. copyright laws. Renter shall be responsible for obtaining the proper licenses from any or all of ASCAP, BMI or SESAC.

RESPONSIBILITY AND SECURITY

The BIZ Lounge does not accept any responsibility for damage or loss of any articles or property left at The BIZ Lounge prior to, during or after the Event. The RENTER agrees to be responsible for any damage done to The BIZ Lounge by the RENTER, his guests, invitees, employees, vendors or other agents under the RENTERS control. Further, The BIZ Lounge shall not be liable for any loss, damage or injury of any kind or character to any person or property caused by or arising from any act or omission of the RENTER, or any of his guests, invitees, employees, vendors or other agents from any accident or casualty occasioned by the failure of the RENTER to maintain the premises in a safe condition or arising from any other cause. The RENTER, as a material part of the consideration of this agreement, hereby waives on its behalf all claims and demands against The BIZ Lounge for any such loss, damage, or injury of the RENTER, and hereby agrees to indemnify and hold The BIZ Lounge and its representatives free and harmless from all liability for any such loss, damage or injury to other persons, and from all costs and expenses arising therefrom, included but not limited to attorney fees.

ALCOHOLIC BEVERAGES

As the person responsible for the event, the RENTER acknowledges responsibility for the proper and lawful consumption of alcoholic beverages at The BIZ Lounge during the duration of the Event described in this contract. All alcoholic beverages must be served by Bartenders or Alcohol Providers with current certification by the Texas Alcoholic Beverage Commission (TABC). The TABC servers will exercise due care in serving alcoholic beverages and will refuse service to any person appearing to be under the age of 21 or any person who appears to be intoxicated. The TABC server will provide all alcoholic beverages consumed in accordance with the laws and regulations of the State of Texas. The RENTER agrees to fully cooperate and assist The BIZ Lounge and the TABC server(s) in enforcing the laws of the State of Texas and the policies of The BIZ Lounge regarding the consumption of alcoholic beverages. No alcohol may be sold on the Property by any person or entity and no BYOB is allowed by any of the RENTERS guests. The RENTERS must have a uniformed Security/Police/Peace Officer present at their sole costs if Alcohol is to be served during RENTERS Event.

HIGHLY RECOMMENDED: If User will be supplying alcoholic beverages, the general liability insurance shall include host liquor liability coverage. If User is using a caterer or other vendor to supply alcohol that vendor must have liquor liability coverage.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first below written.

RULES AND CONDITIONS FOR USAGE POLICY

The following policies and procedures for events held at THE BIZ LOUNGE have been established to promote a safe, secure, and enjoyable environment for all our RENTERs, patrons, and employees. Any violations of the following policies and procedures may result in termination of your event and removal from the premises of THE BIZ LOUNGE building and event space.

Audio Visual Equipment:

Outside audio visual equipment is allowed but will not be supported by The BIZ Lounge. An audio-visual technician may be required for operation of The BIZ Lounge audio visual equipment.

Changes/Requests:

Changes to the floor plan received within thirty-six (36) hours of this event shall result in additional charges of $150. The BIZ Lounge reserves the right to charge the RENTER for excessive, unplanned changes or numerous changes per day. RENTER is allowed one complimentary set-up per day with chairs and/or bar height table rental (provided by The BiZ Lounge ONLY).

Clean-up:

All items that are brought onto TBL’s premises by the RENTER and their vendors shall be removed from The BIZ Lounge at the end of contract date. The BIZ Lounge is not responsible for any items left behind. Any event that may produce excessive amounts of trash i.e. Tradeshow, Expo, etc., shall be required to pay an additional trash and/or recycle fee at the discretion of The BIZ Lounge’s Business Manager. Prior to leaving the facility, the RENTER must check with The BIZ Lounge’s Manager On Duty (MOD) that the building has been left in acceptable condition. Any damage beyond normal wear and tear will be subject to an excessive clean-up fee at the prevailing rate.

Fire/Open Flame:

No open flame is permitted in any part of the facility per Fire Marshal.

Security:

HIGHLY RECOMMENDED: Uniformed off-duty Police Officers will be required at RENTER’s expense at functions where deemed necessary by The BIZ Lounge. Arrangements for the hiring, scheduling and payment of the officers are the sole responsibility of the RENTER. The number of officers in attendance will be determined by the city and The BIZ LOUNGE. The officer(s) must be contracted to work starting 30 minutes prior to the beginning of the event until the end of the event when the building is secure.

Smoke-Free:

The BIZ Lounge has a smoke-free (including e-cigarette) environment policy that is enforced in all areas of The BIZ Lounge.

State Sales Tax:

The State requires sales tax on equipment rental, food and beverage, and labor. Those items are also subject to the prevailing service fee rate. RENTER must provide a Sales Tax Exemption letter 14 days prior to event.

CHILDREN:

Children under the age of 15 are not allowed at Events unless approved by The BiZ Lounge Manager in advance. Children between 15-18 years of age are your complete responsibility. Please know where your children are at all times and make certain that they clearly understand The Rules.

CONTACT PERSON:

You must designate one individual as your Contact Person. This must not be someone heavily involved in the activities of the day, as they will be too busy to effectively communicate with our on-site coordinator should problems/concerns/questions. (When questions arise, do not designate any member of your party, photographer, caterer, florist or musician, etc. as your liaison).

COURTESY PROTOCOL:

The BIZ Lounge reserves the right to request any person or group of people acting unruly and contrary to rental regulations to leave the premises. Assistance from law enforcement agencies may be required if this request is not met immediately.

ELECTRICAL OUTLETS:

All electrical outlets on the property are available for use at an event. The vendors are welcome to inspect the locations and numbers of outlets prior to booking.

DECORATIONS:

Decorations are limited to table decorations and freestanding items. Other decorations, including banners and streamers, may not be attached to any surface without prior approval of The BIZ Lounge. Glitter and/or confetti, rice, and potpourri are not allowed in any part of The BIZ Lounge. Should this policy not be followed an additional charge will be added to the final billing for the clean-up of this material as determined by The BIZ Lounge’s management.

Note – The only adhesive material allowed on the walls is drafting tape which will not damage surfaces. No masking tape, duct tape, electrical tape, transparent tape or double stick tape is allowed. All other decoration must be freestanding. Nails and staples are not permitted at any location.

Note – The use of birdseed is permitted only outside for wedding and reception farewells. Rice, confetti, glitter, sparklers and blowing bubbles are not permitted inside or outside the facilities. ALL DECORATIONS MUST BE APPROVED BY The BIZ Lounge.

GUESTS:

Please keep in mind when inviting Guests to your event, that you are inviting them to our home. We will expect visitors to conduct themselves in a mature, responsible and respectful manner.

MUSIC AND ENTERTAINMENT:

Due to the proximity of The BIZ Lounge to the local neighborhood, sound considerations are a concern. Although music (both live and recorded) is permitted, the music must be contained at an acceptable sound level so as not to disturb the local surrounding area. Any complaints from neighbors or other parties may require the levels to be reduced. The BIZ Lounge reserves the right to require RENTER(s) to cease the music it deems inappropriate, in its sole discretion. The BIZ Lounge also reserves the right to require the RENTER(s) to lower the sound level or cease playing music, in its sole discretion.

PARKING:

Parking is available at the designated areas. Handicap accessible parking spaces are provided at the posted areas.

PETS:

Pet are not allowed. In the event they are brought onto the propery, owners assume full responsibility for their pets. The BIZ Lounge cannot be held liable for any incidents or injury. Attendees accept full responsibility for any risks to themselves and their pets.

PHOTOGRAPHY:

The BIZ Lounge reserve the right to use any photographs or other media reproductions of an event in our publicity and advertising materials.

RENTAL SPACE CHANGES:

Any contents or furniture movement must be pre-approved by The BIZ Lounge. It is the RENTER’s responsibility to restore all areas to their original appearance. Placements of tables, tents, live music, catering equipment, etc., must also be approved by The BIZ Lounge planning staff.

SIGNAGE:

You may post your group’s sign or hang balloons at the front entrance, but please do NOT attach anything to or cover up our entrance sign, or nail or screw anything to the building, doors or walls.

ACKNOWLEDGEMENT

I have read and understand the policies concerning events held at The BIZ Lounge. I agree to uphold them and ensure that vendors and attendees of the event, will abide by the policies. I understand it is my responsibility to inform the coordinator, vendors, photographers, etc., that they must also conform to this set of guidelines.

ALCOHOL RELEASE OF LIABILITY, WAIVER OF CLAIMS, ASSUMPTION OF RISKS, AND INDEMNITYAGREEMENT

I acknowledge that The BIZ Lounge does not provide, sell, or serve food and/or alcoholic beverages for events held at The BIZ Lounge, Houston, Texas. The BIZ Lounge, its owners, operators, employees, and agents are not responsible or liable for any damages to myself or third parties that result from the consumption of alcohol by myself or others, to include, but not limited to, property damage, personal injury, death, disfigurement, or loss of consortium.

That should I consume alcohol or food products on the property owned by The BIZ Lounge, I acknowledge that I am solely responsible for any and all damages suffered by myself or that I may cause to third parties as a result of said consumption to include, but not limited to, property damage, personal injury, death, disfigurement, or loss of consortium.

That should I provide alcohol and/or serve food to family, friends, guests, or third parties on property owned by The BIZ Lounge, I acknowledge that I am solely responsible for any and all damages suffered by myself or third parties as a result to include, but not limited to, property damage, personal injury, death, disfigurement, or loss of consortium.

ALCOHOL

That it is understood and agreed that the Renter may serve beverages containing alcohol (including but not limit to beer, wine, champagne, mixed-drinks with liquor, etc., by way of example) hereinafter call “Alcohol”, upon the following terms and conditions:

1.     Under NO circumstances shall Renter(s) sell or attempt to sell any Alcohol to anyone.

2.     “Shots”, “Jagers” (Jagermeister) or “Energy Drinks” will not be permitted at any time.

3.     Renter hereby agrees to use their best efforts to insure that Alcohol will not be served to anyone who is intoxicated or appears to be intoxicated.

4.     Renter hereby expressly grants to, at ’s sole discretion and option, to instruct the security officer(s) to remove any person(s) from the Venue, if in the opinion of the representative in charge, the licensed and bonded Bartender and/or the security officer(s) the person(s) is intoxicated, unruly or could present a danger to themselves or others, and/or the Venue.

5.     Renter hereby agrees to be liable and responsible for all act(s) and actions of every kind and nature for each and every person in attendance at Renter’s function or event.

That I acknowledge it is against the law to serve, provide, or make available alcohol to anyone under the age of twenty-one (21). I swear and affirm not to provide anyone under the age of twenty-one (21) with alcohol. I further acknowledge that should anyone under the age of twenty-one (21) consume alcohol on the property owned by The BIZ Lounge, I am solely responsible for the safety and well-being of that individual.

That I am solely responsible and liable for any damages that result from someone under the age of twenty-one (21) consuming alcohol to include, but not limited to, property damage, personal injury, death, or disfigurement to themselves, as well as property damage, personal injury, death, disfigurement, or loss of consortium to third parties.

FOOD

Catering vendors are expected to sanitize all food preparation surfaces before they come into contact with food products. Proper hygiene is required at all times. All food must remain covered at all times prior to plating and bussing. NO FOOD IS TO BE COOKED INSIDE THE BIZ LOUNGE BUILDING. All trash must be collected and properly bagged. Failure to properly clean the catering area will result in additional costs and will be charged to the Renter. In addition to the foregoing, the caterer is responsible for cleanup of the event areas. Please allow sufficient time for cleanup of all designated areas at the conclusion of your event.

Catering trash, especially food and drink debris may not be left out for building cleanup. All event trash must be disposed of in designated areas at the conclusion of the event. All trash is to be disposed at the back of the building inside the dumpster located on the right side of the building.

THE BIZ Lounge's cafe may be used as a production space and used for final food preparation, plating, and bussing. The BIZ Lounge does not provide dishes, glassware, pots, pans, knives utensils, etc. The cafe will be provided in a clean condition and the space should be returned to a clean condition immediately following your event.

INSURANCE

HIGHLY RECOMMENDED: Renter and/or Caterer agree to carry, or cause to be carried, liability insurance to cover any and all damages arising out of any act of gross negligence. Temporary riders to existing policies may be necessary.

INDEMNIFICATION AND HOLD HARMLESS

Renter agrees and by their signature(s) to indemnify and hold harmless Caterer in the event more guests attend the event than guaranteed to Caterer, or if not enough foods, beverages or services are ordered to properly serve the attendees. Renter further agrees to indemnify and hold harmless Caterer for any foods or beverages removed from venue by any person or persons whatsoever and consumed or transferred to another person, persons or organizations whatsoever, and consumed which causes sickness and any or all conditions leading up to and including death. Caterer may only be held liable in the event gross negligence is determined through adjudication.

Assumption of the Risk and Waiver of Liability Relating to Coronavirus/COVID-19

The novel coronavirus, COVID-19, has been declared a worldwide pandemic by the World Health Organization. COVID-19 is extremely contagious and is believed to spread mainly from person-to-person contact.

As a result, federal, state, and local governments and federal and state health agencies recommend social distancing and have, in many locations, prohibited the congregation of groups of people. Nydan Investments LLC dba The BIZ Lounge (“TBL") has put in place preventative measures to reduce the spread of COVID-19; however, the Club cannot guarantee that you any minor you are responsible for will not become infected with COVID-19. Further, attending MEFT activities could increase your risk of contracting COVID-19.

By reading this agreement, I acknowledge the contagious nature of COVID-19 and voluntarily assume the risk that I and any minor I am attending TBL events and activities and that such exposure or infection may result in personal injury, illness, permanent disability, and death. I understand that the risk of becoming exposed to or infected by COVID-19 at MEFT may result from the actions, omissions, or negligence of myself and others, including, but not limited to, The BIZ Lounge employees, volunteers, and program participants and their families. I voluntarily agree to assume all of the foregoing risks and accept sole responsibility for any injury to my child(ren) or myself (including, but not limited to, personal injury, disability, and death), illness, damage, loss, claim, liability, or expense, of any kind, that I or my child(ren) may experience or incur in connection with my child(ren)’s attendance at MEFT activities or participation in MEFT programming (“Claims”). On my behalf, and on behalf of my children, I hereby release, covenant not to sue, discharge, and hold harmless MEFT, its employees, agents, and representatives, of and from the Claims, including all liabilities, claims, actions, damages, costs or expenses of any kind arising out of or relating thereto. I understand and agree that this release includes any Claims based on the actions, omissions, or negligence of MEFT, its employees, agents, and representatives, whether a COVID-19 infection occurs before, during, or after participation in any MEFT program, tour or activity.

RELEASE

I hereby Release, Waive and Covenant Not to Sue, and further agree to Indemnify, Defend and Hold Harmless the following parties: the Event Organizers and Promoters, Race Directors, Sponsors, Advertisers, Host Cities, Local Organizing Committees, Venues and Property Owners upon which the Event takes place, Law Enforcement Agencies and other Public Entities providing support for the Event, and each of their respective parent, subsidiary and affiliated companies, officers, directors, partners, shareholders, members, agents, employees and volunteers (Individually and Collectively, the "Released Parties” or "Event Organizers”), with respect to any liability, claim(s), demand(s), cause(s) of action, damage(s), loss or expense (including court costs and reasonable attorney’s fees) of any kind or nature ("Liability”) which may arise out of, result from, or relate to my participation in the Event, including claims for Liability caused in whole or in part by the negligence of the Released Parties. I further agree that if, despite this Agreement, I, or anyone on my behalf, makes a claim for Liability against any of the Released Parties, I will indemnify, defend and hold harmless each of the Released Parties from any such Liability which any may be incurred as the result of such claim, and do so into perpetuity.

That I have read this waiver of liability in its entirety and agree with its terms. That I have executed the waiver voluntarily and without any inducement. I hereby for myself, my heirs, executors, administrators, or anyone else who might make a claim on my behalf, covenant not to sue, waive, release, and discharge The BIZ Lounge, its owners, operators, employees, agents, and servants from any and all liability, property damage, personal injury, death, disfigurement, or loss of consortium. This waiver extends to any and all claims of every kind or nature whatsoever, foreseen or unforeseen, known or unknown. I further agree to hold harmless, defend, and indemnify The BIZ Lounge, its owners, operators, employees, agents, and servants for any and all causes of action, claims, or lawsuits that may result from the consumption of alcohol on their property.

PAYMENT AUTHORIZATION

1. I authorize [Nydan Investment Properties] to charge my Credit Card for the 50% payment cost below and the remaining balance 15 days before the reserved event date. 

2. I certify that I am an authorized user of this credit card/bank account and will not dispute these scheduled transactions with my bank or credit card company; so long as the transactions correspond to the terms indicated in this authorization form.
