Confidentiality and Non-Disclosure Agreement

This Confidentiality and Non-Disclosure Agreement ("Agreement") is entered into as of the date signed below (the "Effective Date") by and between:

Grow Ignited LLC, doing business as "Fired Up Forums" ("Disclosing Party"), and the undersigned individual or entity ("Receiving Party").

1. Purpose:

The purpose of this Agreement is to ensure that any and all confidential or proprietary information shared within the Fired Up Forums networking group remains strictly confidential and is used solely for the intended purposes of participation in the group.

2. Definition of Confidential Information:

For purposes of this Agreement, "Confidential Information" means all non-public, proprietary, or sensitive information, whether written, oral, or electronic, that is disclosed by the Disclosing Party or other forum members. This includes but is not limited to business plans, financial data, trade secrets, marketing strategies, customer information, and other personal or business-related matters shared during forums.

3. Obligations of the Receiving Party:

Receiving Party agrees to:

Maintain the confidentiality of all Confidential Information and not disclose it to any third party without prior written consent from the Disclosing Party.

Use the Confidential Information solely for purposes related to participation in the Fired Up Forums.

Protect the Confidential Information with the same degree of care as the Receiving Party uses to protect its own confidential information, but no less than a reasonable degree of care.

Receiving Party shall not:

Reproduce, distribute, or otherwise use Confidential Information for personal or commercial gain.

Solicit business or compete directly with forum members using Confidential Information obtained through the forums.

4. Exclusions from Confidential Information:

Confidential Information does not include information that:

Is or becomes publicly known through no fault of the Receiving Party.

Was lawfully known to the Receiving Party before disclosure by the Disclosing Party.

Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

Is required to be disclosed by law or court order, provided the Receiving Party gives the Disclosing Party prior notice (to the extent permissible) to allow an opportunity to seek a protective order.

5. Term and Termination:

The obligations under this Agreement shall continue for a period of five (5) years from the Effective Date, or until the Confidential Information ceases to be confidential, whichever occurs first.

6. Return or Destruction of Confidential Information: Upon request by the Disclosing Party, the Receiving Party shall promptly return or destroy all materials containing Confidential Information and confirm such return or destruction in writing.

7. Remedies: The Receiving Party acknowledges that any unauthorized disclosure or use of Confidential Information may cause irreparable harm to the Disclosing Party, entitling the Disclosing Party to seek injunctive relief in addition to all other legal remedies.

8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of laws principles.

9. Entire Agreement: This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes all prior agreements, representations, or understandings.

10. Signatures: By signing below, the Receiving Party acknowledges that they have read, understood, and agreed to the terms of this Agreement.

By signing below, I confirm that I have read and agree to the terms of the Confidentiality and Non-Disclosure Agreement for participation in the Fired Up Forums. I understand that maintaining confidentiality is a condition of my participation and that breach of this Agreement may result in removal from the group.
